Ben Chaset is an associate in DLA Piper's Corporate and Securities group, based in Boston. He focuses his practice on a variety of corporate matters, including private equity, growth equity and venture capital financings, public offerings, private and public mergers and acquisitions and other matters relating to general corporate and securities laws.

Mr. Chaset represents publicly and privately held corporations in a variety of industries including software, hardware, communications, education, life sciences and information technology services. Mr. Chaset counsels clients on corporate and securities law matters, including executive compensation, corporate governance, equity incentive structures, SEC disclosure and NASDAQ standards.

Mr. Chaset's experience in mergers and acquisitions includes the representation of public and private targets and acquirers in connection with a range of corporate transactions, including mergers, acquisitions, leveraged buyouts, and recapitalizations. Mr. Chaset advises clients regarding management and employee benefit matters, fiduciary duties and valuation adjustments, including working capital adjustments and earn-outs.

Mr. Chaset's experience in corporate finance transactions includes the representation of issuers, underwriters and placement agents in initial, follow-on and secondary offerings, shelf offerings, PIPEs and other private placements.
