Brian Gordon is a partner in DLA Piper's Corporate and Securities group, based in Atlanta.

His diverse practice focuses on the representation of venture-backed technology companies and the venture capital funds that invest in them. He concentrates in representing such companies in acquisitions, financing transactions, the negotiation of credit facilities and the resolution of day-to-day legal issues. Mr. Gordon has closed over 60 venture financing transactions which have raised over $400 million. Mr. Gordon has also served venture capital funds in both their fund formation and ongoing matters, and as counsel to a fund-of-funds in its investment in approximately 30 venture capital and buyout funds.

Mr. Gordon has significant broad-based mergers and acquisitions experience, including the representation of private equity funds in the acquisition and disposition of portfolio companies, in both control and non-control transactions.

Mr. Gordon also represents publicly traded companies on an ongoing basis, including compliance with SEC, NYSE, AMEX and Nasdaq rules and the Sarbanes-Oxley Act of 2002, and in public offerings, acting as counsel to issuers and underwriters in initial public, follow-on and Rule 144A offerings. Many of Mr. Gordon’s public company clients are in the financial institutions and banking sector, and he has significant experience dealing with the regulatory issues which arise in transactions for such clients.

Venture Capital Financings

• Representation of a photovoltaic cell manufacturer in its Series A and Series B financings, including the largest venture capital financing in Georgia in 2008
• Representation of a software company in its $13 million Series C financing
• Representation of a software company in obtaining two new credit facilities, amending and restating a third credit facility, and the conversion of outstanding debt to equity

Private Equity

• Represented a private equity fund in its acquisition of a steel processing business
• Represented a private equity fund in the acquisitions by its portfolio company of a pediatric extended care center for medically fragile children and the assets of an autism services business
• Represented a private equity fund in the acquisition of a dental services business, as well as two follow-on acquisitions
• Represented a private equity fund in its investments in a bank and in a bank holding company

Mergers and Acquisitions

• Represented Dickinson Financial Corporation in the sale of Bank Midwest branches to NBH Holdings Corp.
• Represented Ryla Teleservices, Inc., an Atlanta-based call-center, in its acquisition by Alorica Inc.
• Represented Tatum LLC in its acquisition by Spherion Inc.
• Represented KnowledgeStorm, Inc in its sale to publicly traded TechTarget, Inc.
• Represented Informiam, LLC, a software company in the call center monitoring space, in its sale to Genesys Telecommunications Laboratories, Inc., a subsidiary of Alcatel-Lucent

Public Offerings

• Represented the underwriters in the initial public offering of Park Sterling Bank
• Represented the underwriters in a $345 million follow-on offering by IberiaBank Corporation
• Represented the underwriters in a shelf-takedown by WSFS Financial Corp.
