Brian Gordon is a partner in DLA Piper's Corporate and Securities group, based in Atlanta.
His diverse practice focuses on the representation of venture-backed technology companies and the venture capital funds that invest in them. He concentrates in representing such companies in acquisitions, financing transactions, the negotiation of credit facilities and the resolution of day-to-day legal issues. Mr. Gordon has closed over 60 venture financing transactions which have raised over $400 million. Mr. Gordon has also served venture capital funds in both their fund formation and ongoing matters, and as counsel to a fund-of-funds in its investment in approximately 30 venture capital and buyout funds.
Mr. Gordon has significant broad-based mergers and acquisitions experience, including the representation of private equity funds in the acquisition and disposition of portfolio companies, in both control and non-control transactions.
Mr. Gordon also represents publicly traded companies on an ongoing basis, including compliance with SEC, NYSE, AMEX and Nasdaq rules and the Sarbanes-Oxley Act of 2002, and in public offerings, acting as counsel to issuers and underwriters in initial public, follow-on and Rule 144A offerings. Many of Mr. Gordon’s public company clients are in the financial institutions and banking sector, and he has significant experience dealing with the regulatory issues which arise in transactions for such clients.
Mr. Gordon is the Pro Bono Coordinator for the firm's Atlanta office.

Representation of a photovoltaic cell manufacturer in its Series A and Series B financings, including the largest venture capital financing in Georgia in 2008

Before relocating to Atlanta, Mr. Gordon served as a director of The Bottom Line, a non-profit organization whose mission is to assist Boston public school students in applying to college and provide ongoing advice and counsel so that they are able to graduate from college on a timely basis. Mr. Gordon is currently the Treasurer of the Oakhurst Cooperative Preschool in Decatur, GA.
