Carlos Rivas is a member of the Corporate and Securities group and focuses his practice on the representation of US and foreign public and private companies in corporate and securities matters, including public and private offerings, mergers and acquisitions and other general corporate matters.

Prior to joining DLA Piper, Mr. Rivas worked as an associate at White & Case LLP, where he focused his practice in capital market transactions in Latin America. In addition, Mr. Rivas also worked as an associate in the corporate department of Raffali de Lemos Halvorssen Ortega y Ortiz, a Venezuelan law firm, and as a tax legal clerk in Baker & McKenzie's Caracas office.

His experience includes:

• Representing a diverse array of public and private companies in Latin America on matters including acquisitions, dispositions, financings, joint ventures, shareholders agreements, license and manufacturing and distribution agreements and other general corporate matters.
• Representing US public companies in syndicated leveraged loan financings, debt restructurings and bridge loan financings including drafting and negotiating credit agreements, security agreements, pledge agreements, control agreements and other ancillary documents.
• Representing non-US issuers and underwriters in capital markets transactions in Latin America on matters including equity and debt securities offerings, such as registered public offerings, Rule 144A and Regulation S offerings.
• Representing US companies providing advice concerning corporate governance. Assisting US public companies in the preparation and filing of 1933 Act and 1934 Act forms with the United States Securities and Exchange Commission.
