Christopher Edwards practices in the area of corporate and securities law, with an emphasis on public company transactions, including IPOs, mergers, tender offers, going-private transactions, SEC periodic and current report compliance, and other general corporate matters. He assists clients in resolving disclosure issues and providing guidance on ways to interpret and apply federal securities laws.

Mr. Edwards is a former attorney-adviser in the SEC's Division of Corporation Finance. While at the SEC, he served as the Special Counsel in the Office of Manufacturing and Construction and supervised the review of filings submitted by public companies.

To ensure compliance with federal securities laws, he reviewed filings made pursuant to the Securities Act of 1933 and the Securities Exchange Act of 1934 in connection with initial public offerings, secondary debt and equity offerings, limited partnership offerings, mergers and acquisitions, going-private transactions, exchange offers, and PIPEs transactions. Mr. Edwards also reviewed requests for confidential treatment, no-action letters, and applications for exemptive orders under the Trust Indenture Act of 1939.

As Special Counsel, he provided legal and disclosure advice to registrants and their representatives on the disclosure requirements for filings with the SEC. Mr. Edwards also served for ten months in the Office of Mergers and Acquisitions of the Division of Corporation Finance, where he reviewed filings made in connection with contested proxy solicitations, cross-border transactions, and third-party and issuer tender offers. In addition, he provided interpretive guidance on various proxy and beneficial ownership rules.
