Jasna Zwitter-Tehovnik is a member of the Finance & Projects group in DLA Piper Weiss-Tessbach's Vienna office. She specialises in banking, debt capital markets and structured finance (derivatives and securitisations) in Austria and in the entire CEE region. Jasna also advises on projects and public-partnership projects in South Eastern Europe (Slovenia, Croatia and Serbia) and is involved in cross-border mergers and acquisitions, particularly related to the countries on the territory of Former Yugoslavia (Slovenia, Serbia and Croatia). Jasna regularly advises leading Austrian banks, international financing institutions and borrower clients.
Jasna has written numerous articles on finance law. They include: "Cross-Border Electricity Trade and Related Finance in Central Europe – a Legal Perspective" (together with Eva Skottke and Andras Kauten) (Columbia Journal of Eastern European Law, 11 J.E. Jasna was educated at the Lycée N-D de Kerbertrand, Quimperlé, France (Baccalauréat with distinction, 1993), at the Université de Rennes 1, France and at the University of Salzburg, Austria (Master's Degree, 1996; Doctorate, 1997). She also pursued postgraduate studies at the New York University School of Law, New York, USA (LL.M. Degree, 1999). Jasna speaks German, Slovene, English and French. Jasna is admitted to the Austrian Bar and to the New York Bar.
Key experience:- Advising the bidding consortium and the concessionaire on a major PPP project concerning the extension of the Austrian highway network towards the Austrian-Czech border.
- Advising an international real estate fund based in the UK on one of its largest real estate investments in Austria.
- Advising a Swiss bank in connection with the structuring of an L/C financing facility for a German energy trader, acting as trader/grid capacity arranger, for energy supplies from the Slovak Republic to Austria and Hungary in two parallel transactions.
- Advising an Austrian bank specialising in municipal finance on the implementation of environmental subsidies granted by international, state and regional authorities.
- Advising one of Austria’s major banks on the issuance of its €20bn debt issuance programme.
- Advice on and issuance of the Austrian Collateral opinions on instruction of the International Swaps and Derivatives Association, New York. These opinions contain a comprehensive analysis of the relevant aspects of Austrian collateral, general contract and bankruptcy laws and of the local regulatory environment.
- Advising an Austrian investment bank with major activities in the CEE region in the acquisition of a chemical industry in Croatia.
- Advice to EBRD on the granting of credit facilities in Austria and the CEE region.
