The international reach of regulators and courts has reached unprecedented levels. Increasingly, overseas companies appear as plaintiffs in US-based securities class actions and other suits. A US-based company could become the subject of an investigation abroad that could lead to US investigations and related class action litigation. Companies need to be prepared to manage the risks that arise.

Key issues include:
(1) how many types of investigations launched outside the US can lead to SEC investigations and US class action litigation against both US and non-US companies;
(2) how investigations and class action litigation in the US can lead to securities enforcement and investigations abroad and what non-US securities enforcement can look like;
(3) what kinds of companies are exposed to these types of risks and how to manage the risks;
(4) how changing global accounting standards may affect US companies.
