Vincent A. Sanchez focuses his practice in the area of technology-related and complex commercial transactions including joint ventures, strategic alliances, licensing, outsourcing and acquisitions and divestitures of intellectual property and technology assets. Mr. Sanchez is experienced in advising Fortune 500 companies, as well as emerging companies, in the acquisition, divestiture, and licensing of various technologies, products, and services either for strategic use in their businesses or for distributing, licensing, or commercializing such products or services to third parties.

Mr. Sanchez’s experience also includes representing buyers and suppliers of outsourced services. His experience includes representing companies with respect to large-scale global implementation projects and in the outsourcing of business processes and operations such as a company's human resource, accounting, financial, or technology operations. He also advises such companies with respect to implementing strategies and business processes related to electronic commerce and the risks associated with transacting business online through the Internet or in other networked environments, and he also advises such companies with respect to the legal and regulatory issues and risks related to a company's use and security of data and other information.

Mr. Sanchez also serves as general counsel to emerging companies focused primarily on technology and in that capacity has negotiated venture capital transactions, financing, and mergers and acquisitions on behalf of emerging companies.

In 2004, the Law Bulletin Publishing Company, publisher of Chicago Daily Law Bulletin and Chicago Lawyer magazine, named Mr. Sanchez one of "40 Illinois Attorneys under 40 to Watch." In 2005, he was designated an Illinois Super Lawyer in a research project jointly conducted by Law & Politics and Chicago magazines. He is recognized by the respected English research firm Chambers & Partners in its publication Chambers USA: America 's Leading Lawyers for Business. In both 2007 and 2008, Chambers recognized him for his work in two practice areas, Technology and IT Outsourcing and Business Process Outsourcing, noting his "great leadership skills," "very solid reputation" and "measured and reasonable approach to solving problems." In 2008, the Guide to the World's Leading Technology, Media & Telecommunications Lawyers named Mr. Sanchez among the preeminent IT practitioners in the world.

Representative Transactions and Engagements

  • Representation of a global transportation and logistics company in connection with $122 million agreement for the outsourcing of its global information technology infrastructure and call center and helpdesk functions.
  • Representation of a Fortune 500 food and beverage company in connection with its $200 million+ outsourcing of certain HR processes and functions on a global basis including recruiting, staffing, payroll, workforce administration.
  • Representation of one of the world's leading brewers in the $200 million+ outsourcing of certain finance, accounting, HR and related IT processes and functions on a global basis.
  • Negotiation of an agreement involving the outsourcing of a food manufacturer's finance and accounting functions.
  • Representation of various suppliers of outsourced services in engagements involving the outsourcing of various functions including finance, accounting, HR, procurement, learning services, billing, customer care and IT.
  • Representation of various companies in the procurement of telecommunications services including a $100 million+ implementation and managed services arrangement for implementing voice-over-IP systems in offices around the world.
  • Representation of a leading-edge telecommunications carrier in connection with assembling its IP-based communications infrastructure, including negotiating a $1 billion agreement to develop and purchase state-of-the-art telecommunications switching systems for the transmission of telephone calls using Internet technology.
  • Representation of a US-based, publicly-traded company in the outsourcing of the design and development of its next generation engines to a company in Western/Eastern Europe.
  • Negotiation of an outsourcing agreement involving the outsourcing of a leading software company's training, development, and custom programming operations.
  • Serving as the technology and sourcing counsel for 2 publicly-traded retail companies, which involved working directly with the information technology organization, developing form agreements for the procurement of hardware, software and services and negotiating over 30 deals involving such procurements, the outsourcing of application development, procurement of telecommunications services and technology leasing matters. We developed for the client a methodology for contracting practices. We also have trained the information technology organization on how to negotiate information technology contracts and pricing.
  • Representation of one of the 3 largest credit bureaus in various matters including the outsourcing of help desk and disaster recovery and business continuity functions, establishing e-commerce operations for certain data services and advising on establishing joint technology and information ventures for entering new markets in Eastern Europe and Asia.
  • Served as IT counsel to $1 billion international software company, including negotiating OEM, software development, and reseller agreements with Fortune 500 equipment manufacturers and software companies.
  • Negotiation of an agreement for the outsourcing of the management of a client's global real estate portfolio.
  • Representation of a Fortune 50 petroleum company in an outsourcing agreement involving the development and operation of a software content distribution system.
  • Representation of a Fortune 500 financial services company in a $10 million outsourcing services agreement.
  • Representation of a leading independent specialty pharmaceutical company focused primarily on the treatment of dermatological, pediatric, and podiatric conditions in the $24 million divestiture of multiple pharmaceutical product lines.
  • Representation of a pharmaceutical company in a $16 million exclusive license and development agreement to develop and commercialize a patented dermatological product.
  • Representation of one of the nation's largest credit reporting agencies in connection with a joint venture to deliver authentication services over the Internet.
  • Serving as general counsel for an emerging company that provides back-end financial and transaction settlement services over the Internet, including obtaining equity investments from venture capital firms and strategic partners.
  • Representation of two emerging technology companies providing infrastructure for electronic trading of securities.
  • Advising multinational corporations on a variety of online contracting, online content, and data privacy issues relating to their e-commerce activities, including strategies for complying with the European Directive on Data Protection and other European e-commerce directives.
  • Representation of an auto manufacturer in connection with the formation of an online B2B exchange including developing online contracts and transaction rules between the exchange and its customers.

Other Experience
Mr. Sanchez taught as an adjunct professor at Loyola University School of Law (class: Technology Transactions for Business Lawyers) and at Chicago-Kent College of Law (class: Information Technology and Emerging Companies Clinic).

Mr. Sanchez is on the Advisory Board of the Sourcing Interests Group and the Advisory Board of the Northern Illinois Technology Enterprise Center.
