  • Representation of high technology and emerging growth companies in public offerings of equity and debt securities including SalesForce.com, 3Com Corporation, Bay Networks, Extreme Networks, Agile Software Corporation, Calico Commerce, Inc., Maxtor Corporation, Network General, iManage, Inc., The Vantive Corporation, Aspect Development Corporation, Protein Design Labs, and Telocity Inc.
  • Representation of underwriters, including Morgan Stanley, Credit Suisse First Boston, Deutsche Banc Alex. Brown, Lehman Brothers, J.P. Morgan H&Q, Needham & Co., and Soundview Technologies in equity and Rule 144A debt offerings.
  • Representation of numerous public and private companies in mergers and acquisitions and spinoffs, including the acquisition of Maxtor by Seagate, the acquisition of Cascade Communications by Ascend Communications, the merger of Synoptics with Wellfleet to form Bay Networks, the merger of Pinnacle Systems into Avid Technology, the merger of The Vantive Corporation into PeopleSoft, the proposed merger of Agile Software Corporation into Ariba, Inc., the acquisition of Extricity, Inc. by Peregrine Systems, the merger of Force Computers with Solectron, the acquisition of Epic Design Technology by Synopsys, the merger of McAfee Associates and Network General to form Network Associates, the acquisition of Symbios by LSI Logic Corp., and the acquisition of Connect Inc.com by Calico Commerce, Inc.
  • Representation of companies and venture capitalists in financing start-up and maturing semiconductor software, networking, telecommunications, computer and computer peripherals, and biotechnology companies.
