Hal M. Brown is a senior partner in the Real Estate Capital Markets and Corporate Securities groups of DLA Piper, with over 40 years of experience in all phases of securities, mergers and acquisitions, joint venture, partnership, general corporate, and contract law. His clients include issuers, underwriters, and institutional investors.
Securities law matters handled by Mr. Brown include public stock offerings (initial, primary, and secondary) as issuer's and underwriters' counsel, debt shelf offerings, securitizations, merger and recapitalization proxy statements, debt and equity private placements, and public company proxy statements and reports.
Mr. Brown's equity private placements have included a wide variety of syndicated offerings primarily in the real estate sector (including commercial, residential, and government sponsored housing), partnership roll-ups, equipment leasing and commercial ventures. His joint venture matters include venture capital, construction ventures, and investment partnerships between established companies and institutional investors.
