David Chalk practices in the Baltimore, Maryland and Washington, DC offices of the firm. He practices corporate and securities law with special emphasis on public and private mergers and acquisitions, public offerings of equity and debt securities including IPOs and follow-on public offerings and Rule 144A offerings, tender offers, going private transactions, PIPE transactions, venture capital investments, and other private placements of securities. He also advises public companies on disclosure and corporate governance issues, shareholder relations, and compliance with the Sarbanes-Oxley Act of 2002 and the rules and regulations of the US Securities and Exchange Commission, the National Association of Securities Dealers, Inc., and the major stock exchanges. Mr. Chalk began his career in the Division of Corporation Finance at the SEC.
Mr. Chalk has served as counsel in more than 75 public and private offerings of equity and debt securities, both on behalf of issuers, underwriters, and placement agents and investors. He has acted as counsel to both buyers and sellers in more than 50 merger and acquisition transactions on behalf of public and private companies.
The respected English research firm Chambers & Partners cites Mr. Chalk in Chambers USA: America’s Leading Lawyers for Business as an “Up and Coming” lawyer, commenting that he is known for “great communication, hard work and follow up," and that he "is establishing himself as a major player in securities transactions, in particular public and private M&A and [securities] offerings."

- Visicu, Inc.: $110 million initial public offering of common stock; underwriters: Morgan Stanley and Wachovia.

East West Bancorp, Inc.: $30 million private placement (PIPE) of common stock and additional investment rights; placement agent: RBC Capital Markets Corporation.
