Howard Clowes concentrates his practice in the representation of public companies, venture finance, M&A and corporate collaborations. His practice focuses on clients in the Life Sciences industry in particular and he represents clients in the semiconductor, networking and biometrics industries.

• Representation of PDL BioPharma, Inc in various strategic transactions including asset sales of its marketed products and of its manufacturing facilities in 2008
• Representation in 2007 of Ceregene in its collaboration with Genzyme
• Representation of PDL BioPharma in its $800 million collaboration with Biogen Idec, the largest biotech collaboration of 2005
• Representation of APT Pharmaceuticals in its venture financings in 2007 and in its licensing transaction with Novartis
• Representation of Trident Microsystems, Inc., PDL BioPharma, Inc., SciClone Pharmaceuticals, Inc. and Extreme Networks, Inc. in corporate, SEC filings and governance matters

Mr. Clowes' practice is focused on the following areas:

• Representation of technology and life science companies in venture financing including over 60 transactions totaling over $ 800 million since 1998
• Representation of life sciences and other companies in negotiations with collaborative partners
• Representation of targets and acquirers in more than 120 mergers and acquisition transactions with a total value in excess of $20 billion
• Counseling public and private companies in securities law, general corporate and corporate governance matters

Mr. Clowes has been named a Northern California Super Lawyer in every years since 2005, as the result of a joint research project conducted by Law & Politics and San Francisco magazines. In 2007, Mr. Clowes was also listed in The Best Lawyers in America.

Prior to the merger of Gray Cary and DLA Piper, Mr. Clowes was the managing partner of Gray Cary's Transaction group, with responsibility for the operations of the Corporate, Intellectual Property, Tax and Real Estate groups.
