Linda Marotta Thomas counsels companies and individuals in all aspects of equity-based and incentive compensation arrangements, including stock options and restricted stock programs, long-term incentive and performance award plans, employee stock purchase plans, deferred compensation, golden parachute and retention bonus arrangements, tax-qualified and supplemental executive retirement plans and executive employment agreement negotiations. She has extensive experience advising clients regarding the tax, employment, securities law and accounting aspects of stock-based and cash compensation programs.

Ms. Thomas' practice focuses on developing compensation strategies that best position companies in the highly competitive process of recruiting, retaining and rewarding executive officers and personnel. Her practice spans high technology, e-commerce, emerging growth and biotech companies, as well as traditional consumer service and "bricks and mortar" companies at all stages of their life cycles, from start-up and venture-capital funding through initial public offering and beyond.

Ms. Thomas is well experienced in mergers and acquisitions as they relate to employee benefits, stock options, and other compensation arrangements. In addition, Ms. Thomas has a broad range of experience counseling plan sponsors and fiduciaries in connection with designing and operating tax-qualified retirement plans, including 401(k) profit-sharing plans and leveraged ESOPs.

The respected English publisher Chambers & Partners cites her in Chambers USA: America's Leading Lawyers for Business, hailing her "extensive experience" and noting that her peers and clients say "she knows everything and does a great job." Ms. Thomas also has been repeatedly selected as a Maryland Super Lawyer.
