Mark H. Boxer is a partner in DLA Piper's Employee Benefits and Executive Compensation practice, based in San Francisco.
Mr. Boxer advises employers on all aspects of employee benefit matters. He designs and drafts qualified retirement plans and welfare plans and advises clients on their fiduciary duties under Title I of ERISA and on the design and funding of executive deferred compensation arrangements.
Mr. Boxer has extensive experience providing assistance with retirement plan administration and management. This includes:
-
day-to-day support for in-house benefits personnel regarding plan transactions (such as distributions, loans, withdrawals, investment changes and option exercises), participant communications, participant claims and inquiries, and contractual relationships with plan service providers; and
-
regulatory compliance, including:
-
compliance with IRS Code general qualification, nondiscrimination testing and minimum funding requirements;
-
ERISA's reporting and disclosure, fiduciary, claims procedure and plan termination requirements;
-
COBRA and HIPAA requirements; and
-
federal securities law requirements applicable to equity compensation arrangements and company stock as a qualified plan investment.
His experience extends to the benefit issues in mergers and acquisitions, plan self-audits and error correction, including comprehensive compliance audit services, and advice and assistance in correcting errors under the Internal Revenue Service's Employee Plans Compliance Resolution Program, the Department of Labor's Delinquent Filer Voluntary Correction Program and similar programs.
Mr. Boxer has been named a Northern California Super Lawyer and listed in The Best Lawyers in America in every year since 2002. In both 2006 and 2007 the respected English publisher Chambers & Partners cited him in Chambers USA: America's Leading Lawyers for Business.
