Matthew Leivo is a partner in DLA Piper's Corporate and Securities practice, based in San Diego. He advises clients in a wide variety of transactions, much of it international, with ongoing representation of public and private technology, life sciences and consumer-related companies in matters including mergers and acquisitions, public securities offerings, private equity and venture capital, debt finance, corporate governance, SEC reporting and general corporate counseling. For part of 2007 and 2008, Mr. Leivo worked in DLA Piper's London office, where he advised companies on cross-border securities offerings in Europe, Latin America and North America.

Representative Experience

Mergers and Acquisitions

Mr. Leivo represents public and private companies in their acquisitions, sales and restructurings in a variety of industries. He has represented:

  • An international travel consolidator in the sale of its business (2011)
  • SeQual Technologies Inc. in its sale to Chart Industries for $60 million (including earnouts) (2010)
  • DragonWave Inc. in its $26 million (including earnouts) acquisition of Axerra Networks Inc. (2010)
  • 2 Sisters Food Group's sale of assets to Fresh & Easy (2010)
  • CareFusion Corporation in its spinout from Cardinal Health (2009)
  • NuVasive, Inc. in multiple acquisitions (assets and stock) totaling greater than $250 million (2008-2009)
  • Life Technologies Corporation (formerly Invitrogen Corporation) in its $6.7 billion merger with Applera Corporation (2008)
  • Cohu, Inc. in its $80 million acquisition of Rasco GmbH and affiliated subsidiaries from Dover Electronic Technologies, Inc (2008)
  • Kratos Defense & Security Solutions, Inc. in its $53 million acquisition of SYS (2008)
  • Tut Systems, Inc. in its $39 million sale to Motorola, Inc. (2007)'

Securities Offerings, Private Equity and Venture Finance

Mr. Leivo represents public and private companies as well as private equity and venture capital funds in equity and debt securities offerings and financings. He has represented:

  • Clearlake Capital in a $75 million private equity investment (2011)
  • NuVasive, Inc. in its $402 million offering of convertible senior notes (2011)
  • DragonWave, Inc. in its $130 million cross-border US initial public offering on NASDAQ and simultaneous Canadian offering on the Toronto Stock Exchange (2009)
  • Enterprise Partners as selling shareholder in a $44 million secondary public offering (2009)
  • Adventrx Pharmaceuticals, Inc. in an $11 million registered direct offering to institutional investors (2009)
  • SeQual Technologies Inc. in multiple private debt and equity financings totaling greater than $30 million (2002-2009)
  • Ricall, Inc. in private debt and equity financings (2003-2009)
  • Life Technologies Corporation in multiple Rule 144A note offerings totaling greater than $1 billion (2002-2006)
  • Cogent, Inc. in its $280 million initial public offering on NASDAQ (2005)
  • Kintera, Inc. in its $35 million initial public offering on NASDAQ (2003)
  • Accredited Home Lenders Holding Co. in its $77 million initial public offering on NASDAQ (2003)

Debt Finance

Mr. Leivo has represented over 30 banks and public and private companies in debt financings, credit facilities and bridge loans.

Corporate and SEC Reporting

Mr. Leivo has counseled public and private companies regarding corporate governance issues, fiduciary obligations, employee matters, exchange listing requirements and '33 Act and '34 Act reporting and disclosure. Representative clients include:
