Michelle Winbush practices in the area of corporate and securities law representing private and public companies in connection with various business and finance transactions including mergers and acquisitions, equity and debt financings, venture capital transactions, domestic and international joint ventures, and corporate restructurings, reorganizations, redemptions and dissolutions. Mrs. Winbush also provides advice regarding Maryland corporate law to private and public companies.

Prior to joining the firm, Mrs. Winbush practiced as a certified public accountant for two years in a national accounting firm.

In 2007, she was elected to the board of directors for the Special Olympics Maryland. Its mission is to provide year-round sports training and athletic competition in Olympic-type sports for individuals with intellectual disabilities.

Representative Transactions:

  • Acquisition by Aggregate Industries of 100% of the stock of Frehner Construction Company, Inc., a Las Vegas-based aggregates, asphalt and contracting business
  • Acquisition by Perdue Farms Incorporated of certain assets of Cagle's, Inc and Cagle's Farms, Inc.
  • Acquisition by Icelandic USA of a seafood processing business and lease of a seafood processing facility and equipment
  • Acquisition by Aggregate Industries of 100% of the stock of Prince George's Contractor's (owner of 3 asphalt plant operations)
  • Sale by a private company of a 50% joint venture interest in a seafood processing and supply business
  • Acquisition by Icelandic USA of the commodity shrimp and shellfish based products business of Ocean to Ocean Seafood Sales in the US and Canada
  • Sale by Aggregate Industries of a ready-mix concrete plant, lease/purchase option for a ready-mix concrete plant and long term supply agreement
  • Acquisition by Aggregate Industries of 15 ready-mix concrete plants and 3 aggregate quarries
  • Sale by Aggregate Industries of its stock in a minority-owned ready-mix concrete business
  • Acquisition by Aggregate Industries of a sand and gravel business
