Naftali A. Weg's practice concentrates on the federal and state tax aspects of business transactions and investments. He regularly represents domestic and foreign clients in structuring and negotiating the acquisition and disposition of real estate and other investments, with a particular emphasis on both the tax and non-tax aspects of real estate joint venture and financing transactions.

Mr. Weg devotes a significant portion of his practice to the tax and non-tax representation of domestic and foreign institutional and other equity investors, real estate developers and property owners in the structuring, negotiation and documentation of complex joint venture and partnership transactions. His practice also includes assisting clients with structuring like-kind exchange transactions; organizing special purpose entities for securitized financing transactions; advising clients on restructuring underwater or non-performing assets; and generally advising clients on federal and state tax aspects of real estate projects.

Mr. Weg also has significant experience in structuring, negotiating and documenting private equity and angel investments in limited liability company and partnership investments.

• Representation of an Israeli institutional investor in negotiating and documenting a US$139 million development joint venture, with a domestic REIT, for an asset in New York City
• Representation of multiple Israeli institutional investors in negotiating and documenting multiple joint venture transactions for office, retail and residential real estate projects in the United States, with an aggregate transaction value in excess of US$175 million
• Representation of a German open-end fund and its affiliates in negotiating and documenting multiple joint venture transactions with a domestic REIT for retail real estate projects in the United States, with an aggregate transaction value in excess of US$85 million
• Assisting a governmental agency in structuring and negotiating the tax aspects of two development joint venture transactions, with an aggregate transaction value in excess of US$3 billion
• Representation of a domestic private equity real estate fund in negotiating and documenting multiple joint venture transactions for residential real estate projects, with an aggregate transaction value in excess of US $200 million
• Assisting an Israeli institutional investor in structuring US$50 million of private equity investments in domestic equity funds
• Representation of a regional property manager and owner in negotiating, structuring and documenting multiple real estate acquisitions and syndications
