The new Dodd-Frank Wall Street Reform and Consumer Protection Act that became law on July 21, 2010, has implications for all annual meetings held after January 21, 2011, including a "say on pay" mandate.

This webinar will address planning considerations for your 2011 annual meeting, including preparing your proxy statement and other materials for 2011 in light of the Dodd-Frank Act and other recent SEC and governance developments. We will also discuss important issues that companies should consider when preparing proxy materials, including:
  • Say on Pay Mandate - seeking your stockholder advisory votes on say on pay
  • Say on Frequency Mandate - factors companies should consider in recommending the frequency of these advisory "say on pay" votes going forward
  • Say on Parachute - a review of the regulatory proposals and disclosure requirements under the proposed rules
  • Status of Dodd-Frank rulemaking on compensation committee independence, independence of compensation consultants, clawbacks, pay for performance, CEO pay and other matters
  • Update on Proxy Access
