Sachin Lele focuses his practice in outsourcing, technology-related transactions and technology-based emerging growth and early-stage companies.

His perspective in the outsourcing space is enhanced by his representation of one of the world's largest outsourcing vendors on many of its outsourcing matters, including some of its largest outsourcing transactions. He also represents many public, high-profile companies in their global outsourcing needs. In this regard, Mr. Lele advises and represents large and mid-sized multinational companies on the issues and complexities of outsourcing their business processes and operations, including a company's information technology operations, finance and administrative functions and research and development processes.

Mr. Lele also regularly counsels emerging or early-stage companies in the software, biotechnology and life sciences industries with respect to the acquisition, divestiture and licensing of technologies, products and services. He has extensive experience drafting and negotiating a broad range of technology-related agreements involving joint ventures and strategic alliances, technology consulting services, systems procurement and integration and software licensing and development. He also provides general advice on a variety of corporate matters, including venture capital financing, technology transfer and corporate issues.

Mr. Lele also practices corporate law with an emphasis on mergers and acquisitions, venture capital transactions and the representation of private and publicly held companies and investors in corporate finance and technology transactions. In this capacity, he has worked with early stage and mature companies in a variety of industries, among them technology, manufacturing, telecommunications and health care.

Mr. Lele is also an adjunct professor at Loyola Law School and has taught several classes on technology transactions and electronic commerce for business lawyers.

Representative Matters

  • Multiple representations (10+) on behalf of one of the world's largest outsourcing services provider in connection with numerous information technology outsourcing and business process outsourcing arrangements servicing various large multinational organizations.
  • Counseled and advised several large public company clients on the implementation of global information technology outsourcing solutions and prepared various internal company documentation and external vendor agreements regarding the same.
  • Represented several large public company clients in connection with the creation of global procurement programs for software and applications development.
  • Represented several large public company clients in connection with the implementation of various business process outsourcing solutions.
  • Counseled and advised a large public company client on the procurement of a global human resources outsourcing solution.
  • Assisted a national health care organization in connection with the procurement of a complex technology system and software for the management of its health care information and patient record databases.
  • Represented a large multinational client in connection with the development of a complex application service provider business structure for the deployment of a variety of packages of bundled services, proprietary and third-party software applications and technology systems to its end-user customers.
  • Represented a global telecommunications carrier and network solutions provider with regard to a series of multi-million dollar system procurement and network infrastructure build-out transactions for next generation soft switch and VoIP communications technologies.
  • Counseled a leading software company regarding the outsourcing of its training, development, and custom programming operations.
  • Advised a global supplier of computer-integrated manufacturing software regarding the restructuring of various international licensing and sub-licensing affiliate arrangements in order to maximize complex multinational technological, financial, and tax-related benefits.
  • Counseled a leading-edge telecommunications provider in connection with the construction and deployment of its fiber optic communications infrastructure, including various software licensing, equipment procurement, systems integration and consulting agreements.
  • Advised a regional pharmaceutical services firm with regard to the formation of a joint venture and related manufacturing and licensing arrangements with business partners for the distribution of various patented drug products.
  • Represented and advised a private equity group client on various acquisitions and financings of multiple early-stage biotechnology companies and regional medical device product manufacturers.
  • Counseled a regional software products firm with regard to the formation of multiple joint ventures and related strategic alliances with international and domestic business partners for the distribution of various software products.
  • Represented one of the leading business-to-business trade exchanges in the energy services industry in negotiating and drafting a variety of private label co-branded affiliate agreements, strategic alliances and trading partner agreements in connection with the sale of energy products and services.
  • Represented several manufacturing and industrial technology clients with regard to the preparation of various confidentiality and non-disclosure agreements, letters of intent, employment contracts, the structuring due diligence investigations, the drafting and negotiating of definitive transaction documentation and the coordinating of financing arrangements.
