Steven is a Partner in the award-winning Corporate Group of DLA Piper’s Beijing office. He specializes in private equity, venture capital, mergers & acquisitions and capital markets transactions.
Steven has substantial experience representing emerging growth / start-up companies, mature public companies, investment banks and private equity funds on a range of corporate legal transactions that include venture capital and private equity financings, mergers & acquisitions, joint ventures and initial public offerings.
Steven also works with his clients on general corporate matters such as commercial, IP licensing, corporate governance and SEC disclosure issues. In addition, Steven has worked on a number of cross-border transactions involving jurisdictions such as Japan, Korea, the United Kingdom, Israel, Canada, Mexico and Sweden.
Steven's clients have included some of the most active private equity investors in China such as KPCB China, Sequoia China, SIG & Tiger Global, listed companies such as China Southern Airlines, China Finance Online and The 9 Limited, as well as a number of emerging companies.
Key experience:
- Represented Nature Wood Flooring (大自然地板) in its US$100 million equity and debt financing from Morgan Stanley Private Equity and IFC
- Represented KPCB China in four portfolio investments totaling over US$50 million
- Represented Solectron (NYSE: SLR) in an OEM divestiture valued at over US$2 billion
- Represented Eontec Ltd. in the US$130 million sale of the company to Siebel Systems, Inc. (since acquired by Oracle Corporation)
- Represented Source Interlink Companies, Inc. (NASDAQ: SORC) in its US$350 merger with Alliance Entertainment Corp. and the associated spin-off of certain non-core divisions and assets of Alliance Entertainment
