Tony Hugg concentrates his practice in the tax and ERISA issues affecting real estate, private equity and venture capital funds and their investors. He advises clients on the domestic and international tax aspects of fund formations, including choice of entity and partnership tax matters. He also assists funds in structuring portfolio investments to minimize taxes and ensure compliance with US and foreign tax laws. He advises fund general partners regarding clawback issues and management fee structuring.
In addition, Mr. Hugg has substantial experience dealing with ERISA plan assets and other fiduciary issues, including compliance with the Department of Labor's venture capital operating company (VCOC) exception and other plan asset exceptions. He has advised numerous funds of funds on the special ERISA requirements that affect their structures and operations.
Mr. Hugg also works in the area of executive compensation. He is experienced with tax-qualified and non-qualified compensation arrangements, including equity compensation, representing both taxable and tax-exempt employers. He has also advised banks, insurance companies and investment management firms regarding ERISA compliance, with particular emphasis on investment-related matters and related Department of Labor class exemptions such as QPAM and INHAM.
The respected English research firm Chambers & Partners lists Mr. Hugg in Chambers USA: America's Leading Lawyers for Business, and notes that clients call him a "standout attorney," "smart and engaged with issues" and "an unbelievable presence in the equity funds arena – a very strong and thoughtful attorney." Chambers has commented: "Peers viewed this 'exceptionally bright, wonderfully personable' practitioner as clearly belonging among the practice's elite."
He is a contributor of two chapters to the treatise Venture Capital and Public Offering Negotiation, published by Aspen Publishing.
