Thomas B. Reems is a business lawyer assisting companies, investors and lenders with a variety of transactions. His work involves mergers, acquisitions, private equity and venture capital transactions, leveraged buyouts, debt financing, business contracts and licensing.

Fluent in Russian, Mr. Reems also advises foreign investors on investing in the US and on structuring their business relationships with US partners, and has extensive experience in complex cross-border transactions. Mr. Reems prepares an annual report on judicial independence in new democracies and is the conference reporter for the annual International Judicial Conference for chief justices of supreme and constitutional courts.

In 2009, Washington Area Lawyers for the Arts recognized him with its Stewardship Excellence Award for his work re-establishing and running its monthly legal advice clinics.

Representative Transactions

  • Represented a leading investment bank in a $25 million private equity investment in a solar power company and a $19 million investment in an energy storage company.
  • Served as general counsel to a software company and advised on investor relations, bridge financing and venture capital financing.
  • Represented a renewable energy venture capital fund in several transactions, including investments in two electric car companies, two battery companies and a specialty parts manufacturer.
  • Served as general counsel to a renewable energy venture capital fund.
  • Represented an equity sponsor in the sale of a specialty marketing company for $1.02 billion.
  • Represented a venture capital fund in its investment in a software company.
  • Represented an electric utility in the project financing of a waste-fired generation facility.
  • Represented an international company in a series of acquisitions of companies with an aggregate value greater than $6.0 billion.
  • Represented a power generation company in the sale of a power generation plant portfolio for $300 million.
  • Represented a secured lender in providing a complex syndicated $87 million credit facility to an international borrower that included US dollar-denominated revolving and term loans and euro-denominated term loans to separate borrowing groups in several counties.
  • Represented a leading investment bank in a $10 million private equity investment in a medical services company.
  • Served as general counsel to an independent review board.
  • Represented a lender providing a $23 million mezzanine loan facility to a vaccine manufacturer.
  • Represented a private equity fund in an investment in a clinical trial research company.
  • Represented an international insurer in the creation of a joint venture with a US federally chartered corporation to offer reinsurance products.
  • Counseled a private equity sponsor in the recapitalization and sale of its general aviation services portfolio company for $427 million.
  • Advised a lender in making a $43 million uni-tranche loan with senior and junior components and an acquisition line.
  • Advised foreign investors providing bridge financing to and a later equity investment in a US remote sensor company.
  • Advised a lender on the restructuring of an existing loan into $34 million of layered senior and mezzanine loans.
  • Advised an issuer regarding issuance of $440 million of publicly traded stranded cost recovery bonds.
  • Created a carbon-emissions trading contract for use in voluntary carbon-trading markets.
  • Created an innovative investment security for a private equity fund's $50 million investment in a specialty medical manufacturing company.
