Kelly Tubman Hardy practices corporate and securities law, including mergers and acquisitions, public and private offerings of securities, corporate governance, securities compliance and general business law.

Ms. Hardy represents private and public companies and investors in financing and business transactions and serves as company counsel to private and public companies. She also advises public companies on disclosure and corporate governance issues, shareholder relations and compliance with the rules of the Securities and Exchange Commission and the major stock exchanges.

As the Global Desk Partner for the Baltimore office, Ms. Hardy has worked on numerous international financings and transactions and is responsible for the flow of work between DLA Piper’s Baltimore office and its international offices.

In 2004, the Baltimore Business Journal cited her as one of the "40 Under 40" up-and-coming business leaders in the Baltimore region. She has been recognized as a Maryland SuperLawyer as the result of a joint research project conducted by Baltimore and Law & Politics magazines. In 2007, Baltimore SmartCEO magazine named her to its list of Maryland's Legal Elite. She is also a 2009 recipient of DLA Piper's National Pro Bono Award.

  • Acquisition and disposition of portfolio companies for private equity firms
  • Disposition of the Spanish subsidiary of a US public company
  • $25 million bond financing for The SEED School of Maryland, Inc.
  • Representation of placement agents and issuers in PIPE transactions
  • Representation of a US public company in acquisition of various service industry targets
  • Recapitalization of a telecommunications company with multiple classes of preferred stock
  • Representation of investors in startup financings
  • Restructuring of European operations of US-based technology company
  • Representation of the board of a US public company with respect to the acquisition by a private investor of 36 percent stake in the company
  • Representation of HRH Charles Prince of Wales' Prince's Rainforest Project in assessment of legal and regulatory frameworks in 6 Latin American countries.
