• Represent public and private companies in their acquisitions and sales in a variety of industries.

Securities Offerings and Venture Finance

• Represent public and private companies, as well as venture capital funds, in securities offerings and venture financings.

Debt Finance

• Represent banks and public and private companies in 144A debt financings, credit facilities and bridge loans.

Corporate Governance

• Provide counsel to public and private companies regarding corporate governance issues, including Section 16 reporting, option issuances, employee matters, listing requirements, and fiduciary obligations and duties.

SEC Reporting and Disclosure

• Provide general counsel with respect to 33 Act and 34 Act reporting and disclosure.
