Teresa routinely reviews and negotiates limited partnership agreements, subscription agreements, side letters, transfer agreements, and related transaction documentation, and assists clients in evaluating governance rights, economic arrangements, investor protections, conflicts provisions, key-person protections, transfer rights, and other material investment terms. She also supports clients with investment due diligence, transaction structuring, closing execution, and the preparation of investment committee and transaction-summary materials, providing practical, commercially focused advice throughout the investment lifecycle.
