About

Jennifer Cleall, K.C. is a partner in DLA Piper's Edmonton office where she practises business law, with a particular emphasis on corporate/commercial, environmental and governance matters. Jennifer was recognized in 2009 with the prestigious Lexpert Rising Star: Leading Lawyer Under 40 award.

Jennifer has a quarter century of experience providing strategic advice to domestic and international clients in a broad range of commercial matters, including:

  • Mergers, acquisitions and sales, particularly in the waste management, construction, oil and gas and manufacturing sectors
  • Office, retail and industrial leasing, with a particular emphasis on those in the consumer products and retail sectors
  • Shareholder disputes
  • All aspects of corporate governance and corporate board matters
  • Real estate acquisition, divestiture, environmental management and development
  • Joint ventures, partnerships and corporate reorganizations

Jennifer represents clients involved in a wide variety of industries, including waste management, construction, energy, consumer and retail products, manufacturing, transportation, government agencies. As a key advisor to each organization, Jennifer draws on specialized areas of the firm, including tax, litigation, intellectual property (IP) and employment law services to ensure that her clients' legal needs are met in a timely, cost-effective and thoughtful way.

Jennifer is a member of the firm's Executive Committee and is the national Co-chair of the Corporate Practice Group.

EXPERIENCE

  • Acted for the vendor in the sale of a manufacturing business (US$10 million) and a US-based entity on the recent purchase of two businesses in the oil and gas sector (US$30 million)
  • Acted for the vendor in the sale of a portion of an oil and gas related business to a US public company, where the total acquisition value was over US$300 million
  • Acted for the purchaser of an office tower and the redevelopment and transition of the building from commercial space to mixed-use space (US$30 million)
  • Provided all corporate structuring advice to two different US entities involved in Canadian expansion in the retail fitness industry and retail fashion industry
  • Acted for a retail tenant in the lease of multiple spaces in western Canada totaling more than 100,000 square feet related to their Canadian expansion
  • Advised a European private investor in its acquisition of a Canadian oil and gas company
  • Acted for one of Canada's largest registered charities with respect to the sale of its Edmonton commercial space and leasing of new mall premises
  • Continually advises a major Alberta delegated administrative organization and Alberta government agency on all of their corporate legal needs and board governance
  • Completion of the purchase of a parcel of prime development land in the City of Edmonton (US$80 million) and the purchase of a parcel of prime development land in the City of Calgary (US$87 million)
  • Acted for the Divestiture Trustee in the divestiture of a landfill in Alberta under the provisions of a consent order made by the Commissioner of Competition
