His particular focus is on mergers and acquisitions (including tender offers for the sale of shares in public companies) and the initial and secondary offerings of securities, including the information obligations of investors and public companies, the restrictions on the public trading of securities, and other related issues.

EXPERIENCE

  • Advising SIBS International, a leading European fintech provider, on the acquisition of a majority stake in ITCARD, one of the largest payment services providers in Poland, in a transaction worth approx. USD235 million, involving a bespoke hybrid execution model to address the highly dispersed shareholder base.
  • Advising Jet Investment and the management team of Rockfin S.A. on the sale of 100% of shares to a consortium of Capmont Private Equity and RIO ASI, including co-investment and roll-over of the management team, in a cross-border transaction worth approx. USD249.5 million spanning seven jurisdictions.
  • Advising Auto Idea sp. z o.o. and its shareholders on the sale of the company to Van Mossel Automotive International B.V., one of Europe's largest automotive groups, including deal structuring, transaction documentation and regulatory workstreams, in a transaction worth approx. PLN200 million.
  • Advising Vigo Photonics S.A., a WSE-listed technology company, on its strategic options review, including a potential investor entry or shareholder restructuring, in connection with EUR102.9 million R&D public aid under the European IPCEI ME/CT mechanism.
