Payvand Coyle focuses her practice primarily on finance with a particular emphasis in the media and entertainment industries. She has broad experience representing a variety of financial institutions, issuers, underwriters, investors, private equity firms, funds, sponsors, commercial banks, TV and film production and distribution companies, music publishers, record companies and independent production companies in relation to a variety of finance transactions as well as complex motion picture and music industry transactions. Her financing practice is comprised of domestic and cross-border syndicated and bilateral term loans, asset backed loans, mezzanine financings, securitizations, notes offerings, project co-financing arrangements, acquisitions, warehouse and asset-backed finance transactions covering both public deals and private placements.

In addition, Payvand has experience with representing financial institutions, hedge funds, asset managers, dealers and end users in relation to a variety of derivatives transactions and structures. She also advises on regulatory issues affecting derivatives.

  • Represented Concord Music in relation to its US$1.8 billion music royalties backed securitization
  • Represented multiple borrowers in warehouse financing arrangements
  • Represented the issuer in relation to the issuance of US$250 million music royalty backed notes in a private placement
  • Acted as investor counsel in relation to multiple private placement LIHTEC securitizations
  • Represented HarbourView Equity Partners, in structuring and closing a nine-figure music-rights backed structured finance facility as well as closing a series of music royalties rights and a music rights ownership platform acquisitions with an aggregate value in excess of US$350 million
  • Raven Capital Management and Sculptor Media in the financing and production of The Minuteman, a feature film starring Liam Neeson and Cop Shop, a feature film starring Gerard Butler
  • Banks as participants in film, television and music publishing secured credit facilities
