About

Caroline Pimpaud has a strong experience in the areas of investment management and funds. She advises major asset managers on complex cross border transactions.

She focuses on the structuring and formation of Luxembourg alternative investment funds under the form of regulated or non-regulated vehicles for private equity, venture capital, real estate, debt and infrastructure asset managers. Caroline is assisting clients on all legal and regulatory aspects of the funds and management companies formation. She also regularly advises major investors on their investment fund review for their investments in Luxembourg and non-Luxembourg based investment funds and in their negotiations with fund managers (DFIs, institutional investors, insurance companies...). She has also expanded her knowledge in investment funds litigation matters (removal of managers, liquidation, default).

Caroline has led the Investment Funds and Corporate teams in Luxembourg since 2024.

She is a regular speaker at industry events and has authored and co-authored several articles focusing on investment funds.

EXPERIENCE

Caroline’s relevant experience includes advising:

  • Ardian France on the structuring of their pioneer investment fund platform dedicated to the semiconductor industry.
  • Alpha Intelligence Capital on the structuring, setting up and launching of a Luxembourg investment fund investing in the sector of artificial intelligence and technology assets, with a focus on Series A and Series B companies.
  • An insurance and reinsurance group and its portfolio manager on the structuring, implementation and launch of two Luxembourg multi-compartments and multi-strategy reserved alternative investment funds (RAIF), mainly focused on real estate and debt assets.
  • A Swiss investment management firm by conducting several analyses to evaluate the eligibility of potential target investments in accordance with Regulation (EU) 2015/760 on European Long-Term Investment Funds (ELTIF Regulation) for potential investment by a Luxembourg multi-compartment reserved alternative investment funds.
  • A France-based leading European venture capital firm in life sciences, specializing in healthcare and sustainability on the structuring and establishment of the carried interest and co-investment structures in Luxembourg.
  • A real estate investment management firm on the structuring, establishment and launch of parallel fund structures in Luxembourg, co-investing with their US based investment funds, as well as on the establishment of their Luxembourg AIFM.
  • Sovereign wealth funds, development finance institutions and asset managers on their investments into Luxembourg investment funds targeting private equity, infrastructure, real estate and debt-related assets, including the negotiation of side letters and other investor documentation with fund managers.
