• Advising a global leader in environmental and advisory solutions on its acquisition of a multi-jurisdictional emerging market ESG and sustainable finance advisory business with subsidiaries across South Africa, Kenya, Singapore, Hong Kong, France, Morocco and Egypt.
• Co-ordinating and conducting a vendor due diligence on a renewable energy service provider with group companies across South Africa, Mauritius, Nigeria, Ghana, Kenya and Namibia for purposes of selling its entire issued share capital from the current shareholders to a third party purchaser.
• Advising a leading supplier in the squid fisheries market on the sale of its business, as a going concern, comprising of its squid fishing vessels, and squid fishing rights, as well as its permits awarded by the South African government regarding the Marine Living Resources Act.
• Advising a leading global financial technology company, on the USD75m acquisition of a global end-to-end software solution and onboarding service provider for commercial and business banks.
• Advising a global provider of software solutions for the AEC/O and media industries, on the acquisition of a provider of field worker collaboration software.
• Conducting a limited due diligence review on a fast-charging battery technology company and advising a Swedish manufacturer’s venture capital fund, in connection with its GBP400,000 investment in Nyobolt Limited.
• Advising a major insurance provider on the establishment of a retail credit joint venture with a digital bank focused on offering unsecured personal loans with an embedded credit life offering across both customer bases in South Africa.
• Advising a major insurance provider in relation to its provision of preference shares and private debt funding to a consortium of issuers and a single borrower in respect of its acquisition of all the shares in a financial services provider and drafting the shareholders' agreement and memorandum of incorporation.*
• Advising a Mauritian company start-up in the agricultural industry on its capital fund raising with a Dutch development bank and a New York based impact investor. This transaction was nominated for the IFLR Africa Awards 2022 as Deal of the Year.*
• Advising a South African University on the establishment of an Online Highschool in partnership with UK based online school and drafting the memorandum of agreement for inter alia the intellectual property rights and minority protection rights.*

Callie-Jo assists with various corporate pro-bono matters that require legal advice or drafting or amending of constitutional documents in order to comply with legislative requirements, including (where applicable) the drafting of provisions to be registered as a public benefit organisation (PBO) with section 18A status in terms of section 30(1) and section 18A of the Income Tax Act 58 of 1962.* 

Particularly, Callie-Jo assisted by:
• drafting the memorandum of incorporation for a non-profit company (NPC) without members. The NPC assists victims of gender based violence;
• amending the constitution of an NPC with PBO status to align with requirements specified by the Independent Communications Authority of South Africa in order to obtain a community radio licence. These requirements included, inter alia, drafting an appeal mechanism for decision-making and specifying quorum requirements. The NPC assists by improving the quality of living in rural communities; and
• drafting the constitution of a non-profit organisation (NPO) with PBO status, specifying the requirements for office bearers and members, including oversight and reporting obligations for each office bearer level. The NPO promotes neurological rehabilitation and educational needs to disabled persons.*
