Oliver Wright has extensive experience advising on a broad range of transactions across the mining and metals sector, regularly taking the lead on project development, financing, capital markets, and M&A transactions. A recognized global leader in the mining and metals sector, he is ranked Band 1, USA-Nationwide: Mining & Metals (Transactional) by Chambers 2022.

Oliver represents clients in relation to deal structuring, investment risks, joint venture management, offtake arrangements and other operational matters, new country entry, and relations with host country governments. 

Oliver advises sponsors, lenders, and private equity and private credit clients on transactions spanning several jurisdictions. His work combines aspects of project finance and M&A in renewable energy and the mining of minerals for energy transition, such as the ingredients for batteries and the copper necessary for building and connecting renewable energy facilities to the electrical grid.  

Oliver’s notable experience includes representation of:

  • Syrah on the project financing and development of a graphite anode processing facility in Louisiana, including the first Advanced Technology Vehicles Manufacturing Loan with the US Department of Energy for the critical minerals sector.
  • Notable financial institutions in a US$140 million limited recourse financing for the development and construction of a greenfield copper/gold project in Brazil.
  • The underwriters in multiple offerings of American Depositary Shares of a lithium mining company.
  • A major US-based global investment management corporation in its debt investment in a portfolio of certain mining assets in the US, Brazil, Finland, Canada, and Peru.

Oliver has past in-house experience with investment fund Mubadala Investment Company, managing a global mining and metals portfolio.

SELECTED EXPERIENCE

  • Katoen Natie International and its majority owned subsidiary, Terminal Cuenca Del Plata, in connection with the development and financing by the Inter-American Investment Corporation (IDB Invest) of a specialized container terminal at the port of Montevideo, Uruguay. The IDB Invest facility was in the amount of approximately $103 million, including the mobilization of resources for $46 million from Banco Bilbao Vizcaya Argentaria S.A. (BBVA) for the design, construction, and operation of the expansion of the Port of Montevideo. The IDB Invest financing was complemented by a financing facility given to commercial banks by Belgium's export credit agency, Credendo, for a total amount of approximately $340 million. The expansion project, which includes an estimated investment of more than $500 million, will more than double the port's current international cargo volume and improve the efficiency of the country's most important container port, an important pillar for the growth of the port.
  • Syrah Resources in the development and financing of the Vidalia Battery Anode Material Project in Louisiana, including a long-term supply agreement with Tesla and the first ATVM loan from the US DOE in more than a decade. The project is the first graphite active anode material project to be developed in the US (and the first outside of China)
  • The lenders (including ING and Soc Gen and Natixis) in a senior secured project financing for the Serrote greenfield copper-gold project in Brazil. Endeavour Financial acted as the financial advisor. This transaction was named the Latin America Mining Deal of the Year by IJGlobal 2021 and Mining Deal of the Year by Proximo 2022
  • Resource Capital Funds in the IPO of a SPAC
  • Resource Capital Funds in connection with a proposed debt and equity investment in a lithium project in Germany
  • A confidential client in connection with a merger of a confidential target with a rare earth mining project in Australia
  • SolGold in the development and financing of the Alpala copper-gold project in Ecuador, including a US$150 million Franco-Nevada net smelter returns royalty financing agreement

  • The sponsor in the proposed development, construction and financing (including a royalty tranche) of a potash fertilizer production facility in the US

  • Electrum Strategic Opportunities Fund, a New York-based private equity fund, in connection with a US$8 million and US$20 million private placement investment in two Australian junior mining companies, respectively, Breaker Resources and Red 5
