
Victoria McGuire
AssociateVictoria McGuire represents public and private companies, private equity firms, and venture capital investors in their transactional matters and ongoing corporate legal needs. Her practice focuses on mergers and acquisitions, private equity and venture capital investments, corporate governance, and the purchase and sale of tax credits (ITCs and PTCs). Victoria's expertise spans the renewable energy, healthcare, and technology sectors, where she handles a wide variety of complex transactions.
Victoria has represented clients on transactions with values ranging from $5 million to $2.75 billion, and has served as deal counsel in over 200 matters in the past four years.
In addition to her legal practice, Victoria serves as a mentor to a law student in Guatemala as part of the firm’s Global Scholarship Programme.
Prior to law school, Victoria worked at a global investment bank. Following law school, Victoria began her career as a corporate associate in the New York office of another international law firm.
Victoria and her husband, Josh, reside in Austin with their son, Owen.

- Advised a publicly listed company on the acquisition of multiple wind and solar assets in multiple locations in the United States
- Advised multiple buyers and sellers on the purchase and sale of tax credits (ITCs and PTCs) in excess of $1 billion during calendar year 2023, including the first largest publicly disclosed transaction dealing with Section 45X credit
- Paylocity (Nasdaq – PCTY) in its acquisitions of TraceHQ and Airbase
- BoomTown in its sale to Inside Real Estate
- Alimera Sciences (NASDAQ: ALIM) in its sale to ANI Pharmaceuticals for US$430 million

- Silicon Labs (Nasdaq – SLAB) in its divestiture of its infrastructure and automotive business to Skyworks Solutions for US$2.75 billion
