More Together. Delivering better client outcomes

It’s never been more important for organizations to consistently deliver their strategic priorities. Clients work with DLA Piper Business Advisory to navigate complex challenges and deliver better outcomes through our integrated teams of consultants and lawyers.

DLA Piper Business Advisory provides solutions to clients' complex challenges through integrated teams of highly experienced advisors and lawyers. Our solutions center around our legal strengths, target specific client challenges and were co-designed with clients.

Our international advisory teams are dedicated to delivering transformative change through decades of experience. We help our clients manage risk, accelerate opportunities, and achieve better commercial outcomes. We provide clients a single point of accountability to address the frustration of multi-provider models.

Our clients love our deeply collaborative approach. Co-design is at the center of everything we do. And we seek every opportunity to uplift their internal capability.

We’ve drawn our services from decades-long experience in strategy, transformation, risk management, organisational change and they are focused on M&A, ESG and, in some regions, business valuation and financial modelling and financing advisory.

“Clients achieve better outcomes and have an integrated, dedicated team working with them every step of the way.”

Integrated M&A

The M&A ecosystem is complex. Dealing with its complexities is typically outside business-as-usual and requires the right support to maximize success and value returned to the organization. Successfully creating that value requires a skill set that many organizations don’t possess.

Our services are designed to address the inherently complex risk by uplifting capability and overcoming any capacity challenges. Our integrated team accompanies you through the deal lifecycle with a single point of accountability from the pre-deal strategy and preparation and deal execution to close and integration/separation. We also advise on M&A ESG, ventures and joint ventures.

Sustainability and ESG

Sustainability, environment, social and governance is no longer a corporate box-ticking or report-writing exercise. Your organization’s social license depends on meeting stakeholder ESG expectations and driving performance through well-articulated strategy and associated actions. In ESG there are more good plans than good performers.

Our integrated team supports clients with ESG from ambition to strategy to implementation, avoiding the frustration clients often experience with traditional multi-provider models. Our key services include ESG strategy and implementation, materiality assessments, strategic ESG transaction due diligence, sustainable procurement, modern slavery, greenwashing mitigation and driving diversity and inclusion.

Relying on our outstanding business valuation expertise, we help our clients determine the market value of businesses, business units, investment projects, loans and financial instruments, or even intangible assets (software, brands, contracts), real estate, machinery or other assets, whether it is a purchase transaction or matters, regulatory issues, domestic or international accounting (IFRS) issues, or even tax issues.

We provide comprehensive advisory support in connection with loan financing for companies and projects, both on the financier's or borrower's side, in connection with ongoing operations or financing, refinancing or restructuring of new projects. We help companies to develop their financing strategy, to raise funds, to tender and negotiate with banks, and to compile loan application documents (financial planning, feasibility studies, information memorandum). We assist funders in preparing and reviewing business plans and feasibility studies.

Our experts provide an integrated end-to-end transaction advisory service during company sales and acquisitions, from preparation for the transaction to the signing of the sales contract and the closing of the transaction.

Our services include developing strategic goals, identifying and tracing the right potential investors and acquisition targets, implementing the entire due diligence process, defining key risks and their management, and supporting our clients ’business in transaction negotiations. DLA Piper Hungary complements our many years of business and transaction consulting experience in many industries with its international legal transaction consulting expertise.

As a financial expert, with the involvement of partners, as an independent forensic expert and as an expert witness, we assist our clients in resolving disputes in arbitration or litigation, such as economic damages, transaction disputes, bankruptcy proceedings, regulatory or accounting issues. We support our clients in quantifying and substantiating their claims based on objective evidence, or in reviewing forensic expert opinions.

We provide consulting services related to market survey and market analysis to our clients to examine the validity of strategic goals and business plans, as well as to prepare greenfield investments and company acquisition efforts. Our experts have extensive experience and networking in many industries in Hungary and the region, based on which we conduct a comprehensive analysis of macroeconomic characteristics, relevant regulatory issues, market size, market trends and competitors.

Our employees have outstanding experience in performing economic and financial advisory tasks related to highly regulated industries, the special, legally defined operating environment of which requires specific expertise, such as energy, the financial sector and the life sciences. Our experts also help to deal with other business situations that are strictly regulated by law, such as stock market delistings, economic analyzes related to the European Commission's market economy investor principle (MEIP test), contributions and other capital operations, insolvency proceedings (liquidation and reorganization) and transfer pricing issues for related party transactions. Our colleagues work closely with DLA Piper Hungary's experienced lawyers for full legal compliance.
