DLA Piper advises The Kingfish Company N.V. on its successful Public Offering of shares on Euronext Growth Oslo

DLA Piper has advised The Kingfish Company N.V. on the successful completion of a subsequent public offering of its shares on Euronext Growth in Oslo. The transaction involved one of the first Authority for the Financial Markets (AFM) approved EU Growth Prospectus’ by a Dutch issuer.

In its journey to further grow, Kingfish raised new capital by virtue of the issuance of three tranches of securities. In September and October 2022, Kingfish publicly announced the completion of two private placements raising approximately EUR19.7 million. At that time, the company also announced the offering of additional shares to existing shareholders to allow them to participate on equal terms, with the subsequent offering being fully underwritten by some of the company’s major investors. The subsequent offering raised an additional EUR15.3 million. Being a Dutch law governed entity offering securities within the European Union, Kingfish was obliged to prepare a prospectus in terms of the subsequent offering.

DLA Piper advised Kingfish on all aspects of Dutch law in view of the private placements as well as one of the first AFM approved and published equity EU Growth Prospectus by a Dutch issuer, allowing Kingfish to further execute its strategy and grow its business.
