Mei Mei is a Partner in the Finance team in London, specialising in Fund Finance, Corporate Finance and Leveraged/Acquisition Finance.

Mei Mei is experienced in advising:

  • investment funds on fund financings, acquisition financings and portfolio level financings;
  • multinational corporations, listed companies and other large corporates on a broad range of corporate treasury matters including corporate financings, acquisition/leveraged financings and intra-group debt arrangements and liability management matters; and
  • financial institutions and private credit funds on the provision of a range of debt products, and the development of new debt products and frameworks.
  • Mei Mei is also experienced on advising on sustainable finance products from both borrower and lender perspectives and has worked with financial institutions in developing their sustainable finance frameworks.

    Mei Mei is dual-qualified in England and Wales and in Australia. Her versatility across different financial products and structures and the ability to efficiently grasp client's objectives equips her to consistently provide tailored and value-add advice.

EXPERIENCE

Fund Finance

Experience includes advising private equity funds, private credit funds, secondaries funds, and infrastructure funds on fund financing facilities ranging from GBP40m to GBP300m, both syndicated and bilateral, including:

  • subscription line / capital call facilities;
  • asset-backed / NAV facilities; and
  • hybrid facilities.

Corporate and Leveraged/Acquisition Finance

Experience includes advising:

  • Azrieli Group on the syndicated refinancing of its USD850m acquisition of Norwegian data centre provider Green Mountain, and the financing considerations of Green Mountain's expansion into the United Kingdom data centre market.
  • VEON, a major global telecommunications group, on over USD3bn of financing facilities, including its USD2.1bn term and revolving credit facilities. Certain of such facilities included emerging markets loans and facilities backed by export credit agency guarantees.
  • Global Telecom Holding, an Egyptian listed company, on a USD200m bridge facility to finance a tender offer to buy back 10% of its share capital, and subsequently the finance aspects of VEON's mandatory tender offer for the remaining shares in Global Telecom Holding for USD2.3bn which won “Telecom M&A Deal of the Year – Emerging Markets” at the TMT M&A Awards.
  • Neqsol Holdings and Bakcell on the bridge financing and bond take-out for its USD743m acquisition of Vodafone Ukraine.
  • Department for Transport on the finance aspects of the Heathrow Expansion Programme, including advising on the financing structure of the Heathrow Group and delivery support options.
  • PCC Global on its entry into an up to EUR230m term and revolving facilities agreement made available by a syndicate of banks for purposes including the refinancing of European private placement notes.
  • Alchemy Copyrights, LLC on its entry into a USD500m secured interim facility agreement pursuant to which a term facility was made available on a certain funds basis by Athene USA Corporation to finance a USD468.8m recommended cash offer by Concord Cadence Limited for Round Hill Music Royalty Fund Limited, a London listed company.
  • Merlin Entertainments plc, one of the world’s largest attraction operators, on the refinancing of its bank facilities including a GBP600m revolving credit facility and the English law aspects of its issue of USD400m 5.75% Senior Notes due 2026.
  • Sweden’s largest fuel corporation on its USD2.14bn refinancing by way of a new revolving borrowing base facility and term facility
  • Joint administrators of NMC Health PLC on the finance aspects of developing and implementing a restructuring strategy for the NMC group (the UAE’s largest private healthcare group).

Mei Mei has presented on acquisition financing at DLA Piper’s “M&A Academy” attended by a wide range of industry professionals, and has separately conducted client presentations on finance and security structures and security enforcement matters.

Mei Mei has conducted seminars at Addis Ababa University, Ethiopia on international business negotiations which were widely attended including by members of the Ethiopian government.
