  • Represented a U.S.-based dental care provider and its shareholders in acquiring a 50% stake in an Ireland-based software developer focused on healthcare and retail technology. The deal included governance and management arrangements to support growth. Following the acquisition, the parties will collaborate to develop and deploy new capabilities and products aimed at expanding digital healthcare services, including benefits access, claims payment, and real-time support—marking a key milestone in advancing innovation in oral healthcare.
  • Assisted a European convenience chain and its institutional investor in acquiring a majority stake in one of the leading FMCG distribution companies in Romania. The project involved legal due diligence, transaction structuring, negotiation, and advising on the legal implications of the client’s business model for the Romanian market. Post-closing, support was also provided in connection with the integration of the Romanian business. The deal marks the client’s strategic entry into Romania, leveraging its scalable convenience ecosystem and the target’s extensive retail network and workforce.
  • Assisted as part of a multi-jurisdictional team in the acquisition of a consumer panel services business, in a high-value transaction involving one of the largest players in Romania’s market research sector. The deal supports the buyer’s strategy to expand its global footprint and enhance data collection capabilities. Romanian law assistance included legal due diligence, review of transaction documents (including a business carve-out), and completion-related matters.
  • Assisted a technology-driven group listed on the Warsaw Stock Exchange in the acquisition of a Romanian travel agency, in one of the largest transactions in the local tourism market. Provided full legal support throughout the process, including due diligence, transaction structuring, negotiations, merger control, and foreign direct investment filings. Post-closing, support was also provided in connection with local restructuring matters.
  • Advised one of the world’s leading digital music companies on the Romanian legal aspects of its strategic partnership with the largest independent dance music company in Central and Eastern Europe. The transaction involved the acquisition of a minority equity stake and marked a significant step in expanding the client’s presence in key emerging markets and accelerating growth in the Romanian and regional music scenes. Assistance covered partnership structuring, regulatory approvals, IP due diligence, and compliance matters in the music, media, and entertainment sectors.
  • Advised a global online gambling company on its strategic joint venture with a leading Romanian operator. The transaction involved the acquisition of a majority stake, with an option to increase ownership, and aimed to consolidate the client’s market position by combining two established platforms. All Romanian legal aspects were coordinated, including transaction structuring, merger control, FDI clearance, and compliance with local gambling regulations. The deal reflects ongoing consolidation in the online gambling sector and highlights Romania’s role as a key European market.
