About
Kalidou Gadio’s practice focuses on strategic and economic development projects involving energy, natural resources, and infrastructure. He represents developers, construction companies, financiers, and sovereign states on financing structures, risk allocation, financing arrangements, and relevant security packages. Kalidou also advises governments and corporations in Anti-Money Laundering/Countering the Financing of Terrorism (AML/CFT), and in disputes involving foreign investments in the energy and natural resources sectors.
Kalidou brings deep knowledge of the Sub-Saharan Africa and MENA regions, having previously spent 27 years at the African Development Bank, including eight years as general counsel. During his tenure, he played a critical role in creating Africa50, an investment bank for continental Africa with a slated capital of US$3 billion, and setting up the African Legal Support Facility, which provides legal and capacity building services for African governments negotiating major commercial and infrastructure contracts. His notable experience also includes restructuring Shelterafrique into a full DFI, counseling African governments in legislative reforms, institutional capacity building, and advising sovereign corporations, private enterprises and public-private partnerships on project finance transactions.

Kalidou has represented the following DFIs:
- Africa 50: Served as lead counsel for the establishment of the bank and its ancillary documents and the negotiation of the headquarters agreement
- African Legal Support Facility: Served as the lead counsel for the establishment of the Facility and its ancillary documents and the negotiation of the headquarters agreement
- Shelter Afrique Development Bank: Engaged in consulting assignments related to governance and legal structure. Served as lead counsel for the complete amendment of the bank and its ancillary documents and the negotiation of the headquarters agreement
- Trade and Development Bank: Provided legal consulting, particularly advice on the status of the rules of procedure of shareholders and elements of the code of conduct provided
- Africa Reinsurance Corporation: Served as lead counsel for the establishment of the code of conduct and rules of procedure of the board
- Defense Security & Resilience Bank: Currently working as lead counsel on drafting the establishing charter for a new development bank and its ancillary documents, using updated models relevant to this assignment, and negotiating the headquarters agreement
- International Airport of Blaise Diagne in Senegal: Participated in its early structuring and represented the AfDB in connection with a loan on a BOT basis to build the international airport of Dakar (Blaise Diagne), Senegal. The project was approved after I left the Bank

- AfDB in connection with the Social Fund for Development's micro and small enterprises support project, valued at 61,103,460.91 UA
- AfDB in connection with the Ain Soukna thermal power generation project, valued at 1,278,143,367 UA
- AfDB in connection with a project for the Egyptian Refinery Company, valued at 2,218,786,560 UA
- AfDB in connection with several lines of credit to Africa Export Import Bank (Afreximbank) valued in excess of US$300 million
- AfDB in connection with a US$116 million term loan to finance the construction, operations and maintenance of the Lake Turkana Wind Project, a renewable energy project in Kenya. The project cost over US$600 million
- AfDB in connection with a US$133 million term loan to finance the building, operation and maintenance of one the largest solar power projects in Morocco, the Quarzazate Solar Power Plant. The project cost over US$2.145 billion
- AfDB in connection with a provision of several lines of credit to the Industrial Development Corporation (IDC) in South Africa, totaling US$200 million
- AfDB in connection with the El Kureimat power project, valued at 85,688,000 UA
- AfDB in connection with a US$110 million term loan to finance a 30-year concession for the Bujagali Hydro Power Project in Uganda on a BOOT basis for the construction, operation and maintenance of a 250 MW power project
- AfDB in connection with the financing of upstream and downstream components of the Sasol Natural Gas Project (Petrolium Termane) in the Republic of Mozambique pipeline's company. This project total cost was 550 billion Rands
- AfDB in connection with a US$32 million term loan to finance the design, engineering and procurement of the Tema Power Project in Ghana, a 126 MW green field to supply power to the national grid
- AfDB in connection with a US$55 million term loan to finance the design, engineering and construction of the Sendiou Power Project in Senegal, a 125 MW coal-fired power plant
- AfDB in connection with a US$106 million term loan to finance the engineering and construction of the Dibamba Thermal Power Plant, an 86 MW thermal power plant and switchyard at Dibamba on the outskirts of Douala, Cameroon. The project included a 2 km 90 KV transmission line to connect the plant to the national grid
- AfDB in the US$1.75 billion Rule 114A offering (2011), the proceeds of which were used to fund Eskom Company's development of renewable and coal-fired generation facilities in South Africa
- AfDB in its advice to Eskom (its client and the Government of South Africa) in connection with the negotiation of a memorandum of understanding with the Democratic Republic of Congo for an investment in and the purchase of capacity from the Inga III hydro scheme
- AfDB in connection with a EUR€2 billion loan from the African Development Bank (AfDB) to Eskom. This was part of the broader assistance to Eskom in connection with its capital campaign to raise US$50 billion in financing to build 40,000 MW of new power generating facilities over a five-year period
- AfDB in connection with a line of credit to Nedbank in South Africa, in the amount of US$100 million
- AfDB in connection with a provision of several lines of credit to Industrial Development Corporation (IDC) in South Africa totaling US$200 million
- AfDB in connection with a corporate loan to Transnet Company, the largest South African transportation conglomerate
- AfDB in connection with the negotiation for the establishment of Africa Growing Together (a Special Trust Fund Managed by the AfDB) in the amount of US$2 billion between the Central Bank of China and the African Development Bank (AfDB)
- AfDB in connection with two lines of credit to the Africa Finance Corporation in Nigeria
- AfDB in connection with a project finance loan for building the Lekki Toll Road in Nigeria
- AfDB on the applicability of the U.S. Patriot Act to the Bank and whether the Bank needed to comply with the European Global Data Protection Regulation
- Islamic Development Bank (IsDB) with trainings for its legal department in Jeddah, Saudi Arabia with respect to negotiations with international sovereign institutions. Provided a comprehensive memorandum on the question of whether the IsDB is subject to FATCA regulations
- Islamic Corporation for Development of Private Sector (ICD) with a review of its status vis-a-vis FATCA and provided advice on whether it is subject to the FATCA regulations
- Central Bank of Mauritania (BCM) to assess the anti-money-laundering and counter terrorism financing (AML/CFT) regime in Mauritania. Reviewed the country’s compliance and made
recommendations to improve the internal compliance programs - Central Bank of Mauritania in trainings to the banking community on the need for consistency and effectiveness of compliance systems; made commercial recommendations and provided the necessary tools to the BCM to improve its local AML/CFT regime and sanctions compliance
- Central Bank of Mauritania and the Mauritanian banking community with advice about US federal departments and agencies (Treasury, State, Federal Reserve and New York FSD) and US global commercial banks for discussions on correspondent banking relations
Kalidou has represented:
- Shelter Afrique Development Bank: A Pan-African Multilateral Development Bank (MDB) dedicated to promoting and financing housing, urban development, and related infrastructure
- Africa 50: A pan-African regional development bank established by the AfDB to finance infrastructure projects to help bridge the continent’s infrastructure funding gap by facilitating project development, mobilizing public and private sector finance, and investing in infrastructure on the continent
- African Legal Support Facility: An international organization, established by the African Development Bank Group to provide legal and technical capacity to African countries. The Facility provides legal advice and capacity building to African countries by providing practical, “hands-on” support during the negotiation of contractual arrangements between governments and investors
- Trade and Development Bank: An investment-grade African regional development finance group, with the mandate to finance and foster trade, regional economic integration, and sustainable development. The Bank provides bespoke bilateral and syndicated short and long-term financial solutions in numerous sectors to sovereign, financial institution, and corporate clients, including SMEs, from the region
- Islamic Development Bank: A multilateral development bank (MDB), working to improve the lives of those they serve by promoting social and economic development in Member countries and Muslim communities worldwide, delivering impact at scale
- African Reinsurance Corporation: Exists to foster the development of the insurance and reinsurance industry in Africa, to promote the growth of national, regional and sub-regional underwriting and retention capacities, and to support the African economic development
- Defense, Security, and Resilience Bank: A Multilateral Defense Mechanism (MDM) designed to mobilize a collective investment to assist like-minded allies and partners in financing the capabilities needed for defense, security, and resilience
