About

Marceau Visano advises fund managers and financial institutions on investment funds, investment management and regulatory matters. He focuses on the structuring and formation of investment funds, particularly in the real estate, private equity, venture capital and digital assets sectors.

He assists clients throughout the lifecycle of their investment structures, including structuring, regulatory compliance and transactional matters. Marceau regularly advises AIFMD and financial sector regulations, as well as on fund restructuring and fund reviews in the context of investment processes. He also supports clients on matters involving emerging technologies, with a particular focus on blockchain and digital-asset related activities.

Marceau is actively involved in industry initiatives, including as a member of the House of Web3, the digital & tech committee of the LPEA, and the real estate working group of ALFI. In addition, he regularly writes and delivers training sessions on fund-related topics, including fund structuring, AIFMD and ELTIF.

Marceau's relevant experience includes advising:

  • Adams Street Partners, a leading US private equity manager, on the structuring and establishment of a complex alternative investment fund platform in the form of a multi-compartment, multi-strategy reserved alternative investment fund (RAIF) designed to co-invest on a pari passu basis with US-based funds and dedicated to European institutional investors.
  • Generali Investments Luxembourg S.A. on the structuring, establishment and launch of a multi-compartment reserved alternative investment fund (RAIF) platform in the form a corporate partnership limited by shares.
  • Claret Capital Partners, on the structuring, establishment and launching of a Luxembourg special limited partnership whose investment strategy is to co-invest alongside other Claret’s investment vehicles, with a leading pension fund based in Canada as anchor investor.
  • A leading institutional investor in the global energy sector on the structuring, establishment and launching of an orphan fund in the form of a Luxembourg special limited partnership investing in the global energy and infrastructure sectors resulting from a restructuring of an offshore vehicle.
  • Silverfern, a global middle-market investment management firm, on the restructuring of two Luxembourg investments funds to enhance the cost efficiency of such funds
  • Welt der Wunder on the structuring, establishment and launching of Digital Genesis Fund S.C.A. SICAV RAIF, being the first fund launched by Welt der Wunder.
  • VCUK Financial Services Ltd., a UK private investment company focusing on high-potential European companies particularly in deep-tech, on the structuring, establishment and launch of a closed-ended special limited partnership qualifying as an alternative investment vehicle whose investment strategy focuses on early-stage companies and VC based financial instruments located in the European Union, Israel and Asia.
