Carolina Sant’Angelo has years of experience in M&A (local and cross-broader), joint-ventures and venture capital transactions in different sectors.

Her experience also includes general corporate advice, corporate governance, multijurisdictional corporate reorganizations, as well as advice involving complex business contracts. She has a very practical and business-oriented approach.

Carolina´s client portfolio includes Brazilian and foreign companies in different industries, especially pharmaceuticals and technology.

  • Part of the international team advising an American multinational conglomerate on multiple corporate reorganizations, including reorganizations that preceded the disposal of part of the company's overseas Lighting business, and a spin-off and merger of its Transport business with WABTEC Corporation
  • Acted for the largest independent insurance distribution platform in the UK and one of the 20 largest insurance brokerage groups in the world, on the acquisition of 100% of the share capital of MDS SGPS, SA from the SONAE Group and IPLF Holding S.A.
  • Acted for a cosmetic provider in the sale of its Brazilian subsidiary in the cosmetics industry
  • Participated in the team leading the negotiation and execution of a commercial partnership between a major Brazilian pharmaceutical company and a publicly listed Canadian biopharma in relation to cannabidiol-based product
