David Padyšák has over 30 years of experience providing exceptional advice and professional guidance in all legal areas connected to Real Estate, especially transactional aspects such as acquisitions and sales, financing, and use of real estate in all conceivable forms, from residential projects to office, retail, and industrial buildings, including energy facilities.

David also focuses on construction law, procurement, contractual arrangements of rights in rem, in particular, energy law, insolvency law, laws governing the insurance industry, and corporate and commercial law.

EXPERIENCE

  • Advising Komerční banka, a.s. on the sale of the property located in the centre of Prague for more than CZK3.3 billion (EUR131 million) by way of transfer of 100% of shares in a Czech SPV and on the further lease of the property back to the seller.
  • Advising a multinational furniture retailer regarding the clarification and adjustment of the legal relations between multiple subjects who mutually cooperate in the operation of shopping centers. Provision of such services involved a deep analysis of the nature of the current practice and the potential future development of the project.
  • Advising a real estate developer and manager of shopping centers around the world on the sale of a shopping park in Brno, worth EUR40.7 million.
  • Advising a warehouse logistics operator in negotiating a lease agreement relating to premises in CTPark Bor. The lease consists of more than 60,000 m² to be leased for the upcoming ten years for EUR35 million. Our legal services included negotiating and drafting contractual documentation, preparing a due diligence report on the corporate structure of the landlord, and assessing potential risks related to the ownership of the property.
  • Advising Marq Logistics, a leading investor, developer, and manager of European logistics real estate, on regulatory and legal aspects relating to the creation of a GLP Solar PV fund to exploit rooftop warehouse spaces for the generation of solar energy.
  • Advising a leading European residential real estate company on the sale of a portfolio of apartment buildings in smaller Czech cities to Czech private equity funds.
  • Advising LEGO Production s.r.o. with solar park constructions in the proximity of its factory area in Kladno, Czech Republic, so that green energy may fully cover the needs of the entire site.
  • Advising a Czech subsidiary of an international developer and landlord of industrial and logistics properties in connection with the contemplated acquisition of land plots.
  • Advising LEGO Production s.r.o. on the reconstruction of offices at the LEGO Production factory in Kladno.
  • Advising a worldwide provider of biopharmaceutical courier services and medical logistics on negotiations of a lease agreement for office and warehouse premises in Jinočany.
  • Advising a Czech subsidiary of an international developer and landlord of industrial and logistics properties in connection with the contemplated acquisition of land plots in the South Moravian Region. Our services included preparation and negotiation of a reservation agreement, real estate due diligence, negotiation of an Agreement on the Future Sale and Purchase Contract and related transaction documents, assistance until satisfaction of conditions precedent, and support with completion of the acquisition and preparation of a Development Management Agreement.
