EXPERIENCE

  • Advising Renesas Electronics on its AUD9.1 billion acquisition of ASX-listed Altium via scheme of arrangement.
  • Advising Life360, the California-based technology company, on its Nasdaq listing, continuing a long-standing relationship having advised Life360 on its IPO and ASX listing – one of the largest tech debuts on the ASX ever in Australia – along with its AUD280 million accelerated non-renounceable pro-rata entitlement offer and institutional placement to fund the acquisition of Tile, Inc.
  • Advising Macquarie Technology Group, the Australian cloud, data centre, government cyber security and telecom company, on:
    • its AUD200 million hybrid investment from the National Reconstruction Fund Corporation (NRFC).
    • its AUD100 million capital raising. The transaction follows previous advice to Macquarie Technology Group in July 2023 regarding an AUD160 million capital raising.
  • Advising WEB Travel Group in relation to the demerger of its B2C business conducted by Webjet Group and subsequent listing of Webjet Group on ASX, continuing a long-standing relationship having advised Webjet Limited (ASX: WEB) on its AUD346 million equity raising; and on its EUR100 million (approximately AUD163 million) convertible notes offering.
  • Advising Ansarada on its AUD236 million sale to Datasite via a scheme of arrangement.
  • Advising PM Capital, the investment manager to PM Capital Asian Opportunities Fund and PM Capital Global Opportunities Fund (both ASX listed LICs), in relation to the Takeovers Panel proceedings concerning the proposed merger between the two LICs.
  • Advising Nearmap Ltd on its AUD1.05B cash acquisition by Atlas AU BidCo Pty Ltd, a vehicle controlled by funds advised by Thoma Bravo L.P., via scheme of arrangement.
  • Advising Accel-KKR on its growth equity investment in geological SaaS business Seequent and on its subsequent exit by way of trade sale for NZD1.46 billion.
  • Advising DroneShield on its AUD120 million fully underwritten institutional placement.
  • Advising SPC Global on its reverse merger with ASX-listed The Original Juice Co. and concurrent acquisition of the powdered milk business of Nature One Dairy.
  • Advising Nord Gold SE on its on-market takeover bid (and simultaneous off-market takeover bid) for ASX and TSX-listed, and competitive auction for, Cardinal Resources Limited.
  • Advising Washington H. Soul Pattinson and Company Limited (ASX: SOL) on its AUD225 million convertible notes offering.
  • Advising Nickel Mines Limited (ASX: NIC) on its AUD364 million, fully underwritten accelerated pro-rata non-renounceable entitlement offer; and on its AUD231 million, fully underwritten 1 for 3.6 accelerated non-renounceable entitlement offer.
  • Advising ASX-listed US fintech company Credible Labs Inc. (ASX: CRD) on its AUD585 million merger with NASDAQ listed Fox Corporation.
