Louann Fang Richard advises on various corporate and securities matters, focusing her practice on counseling public and private companies on federal securities law compliance and corporate governance matters. Louann also has experience representing buyers and sellers in a broad range of domestic and cross-border mergers and acquisitions transactions, including public and private acquisitions, divestitures, mergers, joint ventures, spinoffs and other strategic transactions.  She has advised on matters involving a range of industries, with a particular focus on the technology, consumer retail and healthcare sectors.

Louann is currently pursuing a Master’s in Social Work and expects the continued education and training to expand her skill set and prepare her to provide tailored counseling and coaching services to those in the legal industry.

Corporate Governance and Compliance Counseling

  • Advising several US public companies in board and corporate governance matters and securities law disclosure issues, including periodic and current filings with the Securities and Exchange Commission
  • Counseling US public companies in preparing for in-person and virtual stockholder meetings, including drafting and obtaining no-action relief from the SEC for US public companies on stockholder proposals
  • Assisting US public companies in drafting, updating and implementing insider trading policies, code of corporate ethics and conduct, corporate governance guidelines, bylaws and other corporate governance policies and documents
