Seth Bonneau's practice focuses on the representation of financial institutions in all aspects of secured and unsecured debt facilities with an emphasis on corporate finance transactions.

Seth represents a wide array of senior and subordinated lenders, including community, regional, national and international banks, mezzanine debt funds and private equity funds, in connection with single and multi‑lender transactions involving asset-based and cash flow facilities, cross‑border financings, acquisition and general working capital facilities and recapitalizations.


  • Representation of the administrative agent in connection with a US$140 million senior secured term loan and revolving loan to a US-based sponsor, the proceeds of which were used to acquire a software company in the United Kingdom with affiliates in The Netherlands and Luxembourg
  • Representation of a US financial institution in connection with a US$85 million asset-based revolving loan to a US recruitment solutions company with subsidiaries in the United Kingdom and the United Arab Emirates
  • Representation of the administrative agent/lead arranger in connection with a US$130 million syndicated real estate term loan secured by commercial office buildings in Virginia occupied by the US government
  • Representation of a US financial institution acting as bondholder in connection with US$24 million in construction and equipment loans financed with tax-exempt Massachusetts revenue bonds
