Melissa Martinez Echeverria focuses her practice on project development and finance transactions, PPPs, infrastructure, real estate, corporate and structured finance. She is experienced in refinancing transactions through the issuance of notes under the 114A/Reg S.

Melissa additionally advises on M&A and restructuring matters, with extensive experience in securities regulation and general corporate law.

EXPERIENCE

  • Participation in the representation of a leading global petrochemical company and the largest polyethylene producer in Mexico since 2016, in its offering of 114A/Reg S US$900 million senior notes due in 2029. The proceeds of the bond issuance were used to partially refinance its project finance debt raised in 2012 for the development and construction of an ethylene/polyethylene petrochemical complex located in Coatzacoalcos, Veracruz. The refinancing was recognized as the Petrochemical Refinancing Project of the Year in Latin America at the 2019 IJ Americas Awards.
  • Participation in the representation of a syndicate of lenders to a wholly owned subsidiary of an Egypt-based company, on the first-ever reserve-based lending transaction in respect of upstream oil & gas assets located in Mexico.
  • Participation in the representation of a lender in the USD$20 million financing to the financial company of the leading distributor in Mexico of high-precision, computer numerical control machinery used to improve manufacturing processes, to finance the acquisition of high-precision machines among micro, small and medium-sized companies in Mexico.
