María José Morales concentrates her practice in real estate and mining law. She advises Chilean and foreign clients on the development of real estate, energy, and engineering projects (housing, hotel, infrastructure, industrial, among others), due diligence processes related to real estate and mining assets, permits and applicable sectorial authorizations, and analysis of compliance with urban planning regulations. In addition, she actively participates in the negotiation of contracts and insurance policies.

Due to her extensive experience in relations with sectorial authorities related to the real estate sector and her knowledge of urban planning and land regulation matters, María José plays an active role in formulating strategic recommendations for clients in this area.

EXPERIENCE

  • A global provider of wireless and transmission towers and indoor and outdoor distributed antenna system (DAS) networks in multiple transfers of properties in various areas of Chile to a real estate entity created to acquire these assets
  • An electromobility company in negotiating and drafting a sublease agreement in the context of its arrival into the Chilean market
  • A horticultural seeds company in the regularization of water rights before the relevant authorities
  • A coffee company with a global presence reviewed its lease and sublease agreements for its branches in Chile. This process included analyzing contracts and property titles, complying with urban planning regulations, and identifying and mitigating operational risks
  • A company that carries out several real estate projects in the sale of a piece of land located in the Metropolitan Region, where a data processing center will be developed. The advice included a review of real estate titles, drafting documents and coordination between the parties
  • An important local real estate developer in preparing an analysis of the possible need to submit its real estate development project to environmental assessment and an assessment of the risks derived from the start of the construction works
  • A private equity investment firm on the negotiation and closing of an agreement to terminate a joint venture established in Chile together with a prominent Chilean family by way of a settlement agreement providing for the spin-off of their businesses through the rescue of real estate assets, subsequent corporate acts and a series of guarantees to ensure the execution of such agreement
  • A key player in the US berry production and marketing industry on an investment to establish a joint venture in Chile through the acquisition part of the share capital of a local company and the purchase of a property exceeding. The process included due diligence on the real estate assets, reviewing titles, land use, and regulatory compliance. Additionally, we prepared the acquisition contract for the new property, incorporating a staggered payment schedule tied to the phased delivery of portions of the land
