Ewelina Szlachcic specialises in civil, commercial and banking law. She advises both banks and investors in domestic and international transactions. She focuses on advising on real estate financing and acquisitions (asset deal and share deal), as well as project financing, refinancing and restructuring of debt.

Ewelina prepares and negotiates loan documentation, also based on the LMA standard, including facility agreements, security documents as well as supervises the satisfaction of conditions precedent to the drawdown of the loan. Furthermore, she prepares legal opinions and performs due diligence analyses on financial debt.

EXPERIENCE

  • Advising Corsair Capital comprising assistance in obtaining financing for the acquisition of the companies from MJM Holdings group.
  • Advising OX2 with advice concerning the construction of the Grajewo wind farm, in Poland with a total installed electricity capacity of 41.2 MW.
  • Advising a company within a financial group on a complex international bankruptcy case involving a cryptocurrency trading company in which the client was secured as a pledgee under a share pledge agreement with the sole shareholder of a Polish subsidiary. The advice included an analysis of the implications of the Polish bankruptcy proceedings for the client and the enforcement of the share pledge, the client's right to actively participate in the potential bankruptcy proceedings, the possibility of initiating restructuring proceedings and the risks associated with the appointment of a member of the management board of the Polish company against which the bankruptcy petition was filed.
  • Advising Aareal Bank AG on the refinancing of Globalworth's acquisition of Skylight Lumen and Hala Koszyki in Warsaw from Rodamco. Advising the lender included assisting with all Polish aspects of the transaction.
  • Advising a consortium of banks, with Bank Polska Kasa Opieki S.A. as lead bank, Bank Gospodarstwa Krajowego and BNP Paribas Bank Polska S.A., which provided more than PLN 248 million of construction and investment loans and a PLN 15 million VAT loan for the construction of five further PRS projects for Resi4Rent.
  • Advising Pekao and Mota-Engil as senior lender on a project to design and build, under a concession formula, an underground car park with 420 parking spaces under Powstańców Warszawy Square in the centre of Warsaw. The car park will be managed by the concessionaire for 40 years.
  • Advising Pekao as senior lender on a project to design, build and maintain multi-storey car parks in several locations in Lodz, under a concession formula. The car parks will be operated by the concessionaire for 40 years.
  • Advising the borrower and its subsidiaries on the financial restructuring of the whole group. The restructuring process took almost ten months and was divided into two main phases: (i) bridge financing and (ii) long-term financing. Two main creditor groups were involved in the transaction: up to 10 insurers and up to 10 banks. The scope of the advice also included the restructuring of the group's internal financial debt. The restructuring included five basic financial documents: (i) the facility agreement, (ii) the common terms agreement for banks, (iii) the common terms agreement for insurers, (iv) the intercreditor agreement and (v) the shareholder loan agreement. As a result of the consultancy, the group restructured its financial debt and a new shareholder entered the shareholder structure. The transaction has been nominated by the Polish legal portal www.RynekPrawniczy.pl as ‘Transaction of the Year 2019’.
