About

Morena Pirollo is an insolvency lawyer, with over ten years’ experience and based in the Rome office. She regularly deals with bankruptcy proceedings and, more generally, with crisis resolution, assisting Italian and international creditors, shareholders, banks and investors on a wide range of contentious and non-contentious issues.

She assists distressed enterprisers and companies in restructuring their debts, both through the liquidation of assets and the continuation and relaunch of business activities, by means the crisis resolution instruments provided for by insolvency law, such as compositions with creditors, debt restructuring agreements, out-of-court rescue plans and crisis resolution settlements under Law Decree no. 118/2021.

She also provides assistance to banks and investors on Non-Performing Loans (NPL) management and asset purchases from bankruptcy and foreclosure procedures. She advises on insolvency law aspects in the contest of large and complex corporate deals.

Morena also has extensive experience in corporate and bankruptcy litigation, with a focus on clawback actions and directors' and statutory auditors' liability, also in connection with fraudulent bankruptcy, unfaithfulness on assets and other corporate crimes.

EXPERIENCE

  • Assisted some well-known Italian companies operating in fashion, aerospace, engineering and major buildings, railways, museums and energy sectors in implementing crisis resolution and business restructuring procedures (concordati preventivi and accordi di ristrutturazione dei debiti).
  • Provided assistance to some large insolvent companies of national relevance in obtaining the admission to the Extraordinary Administration (Amministrazione Straordinaria).
  • Has been assisting a major international bank in a large number of clawback litigations.
  • Was in charge of the insolvency law issues relating to the seller’s restructuring in the context of a large property purchase in Rome.
  • Has advised clients on insolvency law issues relating to the refinancing of two Italian Serie A football clubs through the issuance of senior secured bonds.
