Antony Cortese practises corporate and commercial law, with a focus on private company mergers and ‎acquisitions, corporate governance, joint ventures, and corporate finance.‎

Antony works with clients operating in a wide range of industries, including forestry, energy, mining, ‎construction, technology, food services, and insurance.‎

As a trusted legal advisor, Antony provides clients with timely, practical and tailored solutions for their ‎legal needs. Specifically, Antony regularly assists clients with commercial contract drafting and ‎negotiation, corporate governance matters, negotiating deal terms for transactions, and counselling ‎buy/sell transactions from the term sheet stage through to close. Antony also has extensive experience ‎structuring and re-structuring business ventures, including through the use of joint ventures, corporations, ‎and partnerships. ‎

Prior to practising law, Antony worked for a technology start-up in the affiliate marketing space. With a ‎background in business and experience working on the other side of the lawyer-client relationship, Antony ‎strives to provide clients with pragmatic advice and understands the importance of a having a trusted legal ‎advisor.‎

  • Acted for Nippon Paper Industries Co., Ltd., Marubeni Corporation and Daishowa North America ‎Corporation in the US$465 million sale to Mercer International Inc. of their business of manufacturing, ‎marketing and selling pulp, which included among other things the sale of a pulp mill ‎
  • Acted for Canadian Forest Products Ltd. in its $420 million acquisition of Millar Western Forest Products ‎Ltd.’s solid wood operations, being two sawmills and a specialty value add manufacturing facility
  • Acted for Cobra Electric Ltd. and Cobra Electric (South Coast) Ltd., affiliated companies specializing in ‎traffic management and lighting system infrastructure for municipalities and the B.C. provincial ‎government, in the concurrent sale of their businesses to the Mainroad Group
  • Acted for TRG Group Benefits and Pensions Inc., a leading employee benefits advisory firm, in its ‎‎acquisition by US-based Hub International Limited.‎
  • Acted for Autopro Automation Consultants Ltd. in its acquisition ‎in a three-cornered transaction with ‎Canadian public company mCloud Technologies Corp. and Fulcrum ‎Automation Technologies
  • Acted as Canadian counsel to a Swedish-based multinational corporate group in its acquisition of a B.C ‎based company with international operations, for an upfront cash consideration of US$90 million and a ‎potential earnout of US$30 million ‎
  • Acted for the seller of a business division carrying out the marketing, distributing and servicing of group ‎benefit and group retirement plans ‎
  • Acted for a Canadian subsidiary of a multinational corporate group in its acquisition of an Australian-‎owned business consisting of proprietary technology which tracks fatigue in industrial workers
    Acted for a B.C. company in the sale of its wastewater and water utility
  • Acted for the seller of an agricultural commercial equipment business
  • Acted for Canadian Forest Products Ltd. in the formation of its joint venture, “Arbios Biotech”, with the ‎‎Licella Group of Australian companies for the development of biofuel plants in Prince George, B.C. and ‎elsewhere.‎
  • Acts as corporate counsel to a number of BC based forestry companies, including forest tenure ‎management and ‎log marketing firms and sawmill operators
  • Acts as Canadian corporate counsel for a number of US based enterprises commencing business in ‎Canada
  • Acts as corporate counsel to a variety of professional partnerships in renewing their respective ‎partnership and shareholder ‎agreements
  • Acts regularly for institutional lenders and syndicates with respect to senior secured credit facilities to ‎‎companies in a variety of sectors
