Mike Helmer focuses his practice on mergers and acquisitions, corporate finance, other commercial transactions, corporate governance and general corporate counseling.  His clients are concentrated in technology, life sciences and transportation.  He acts as outside general counsel to numerous companies and has experience in intermodal transportation and marine port terminal transactions. 

As an M&A lawyer, he has over 25 years of experience representing purchasers and sellers in a wide variety of acquisition, sale, merger, joint venture and other business combination and divestiture transactions. He has extensive experience in the acquisition of control and minority positions and joint ventures in marine port terminals. In finance, he has represented both issuers and funds in equity, convertible debt and bridge financing transactions, including seed, angel, early, expansion and mezzanine round financings. In later stage private equity transactions, he has represented companies (including special committees and management groups) and investors in joint ventures, leveraged recapitalizations, special dividend transactions, dispositions and PIPE offerings for numerous emerging and established entities.

With respect to pro-bono matters, Mike has served on a number of charitable boards and is a frequent participant in DLA's signature on-site legal services project for veterans located at the Lyons VA hospital campus. He also lectures at the Entrepreneurial Bootcamp for Veterans.  In 2016, Mike was named by the Boy Scouts of America as one of their Distinguished Citizens of the Year.  He was previously honored by the Arc of New Jersey.
