Carla Small is part of the Insurance sector and the Corporate Securities and Finance groups at DLA Piper.

Carla focuses her practice on insurance and reinsurance corporate transactions, regulatory compliance and government relations.  She represents public and private insurance companies in all lines of business, including life, health and property and casualty insurers, as well as reinsurance companies.

Carla advises on mergers and acquisitions (including complex cross-border transactions); purchases and sales of blocks of business; affiliate transactions; and reorganizations, including redomestications and demutualizations.  She also handles formation and licensing of insurance companies and agent/broker/producers; and is involved in reinsurance-related matters, particularly with respect to Regulation XXX and AXXX securitizations, note issuances by special purpose vehicles, and captive insurance company programs.

Carla also counsels insurance clients on various aspects of insurance business operations, such as insurance product drafting and review; corporate governance; and financial and market conduct examinations. She also advises on insurance regulatory compliance matters, including state requirements regarding the Holding Company Act, credit for reinsurance and investment law compliance.  In addition, she assists clients in obtaining domestic and international regulatory approvals.

Carla also provides legal counsel on legislative and political issues affecting the insurance industry, such as federal and state proposed and enacted legislation and proposed and implemented government agency regulations. Carla closely monitors the activities of the National Association of Insurance Commissioners and other insurance trade associations.
