Kamla Topsey focuses her practice on technology-based transactions, with an emphasis on the licensing and acquisition of intellectual property assets.

Kamla has experience drafting and negotiating license agreements and other commercial agreements for large public companies and startup companies in the software, information technology and life sciences industries, including license agreements for patents, software, copyrights, trademarks and trade secrets; Internet-related business agreements, including cloud computing and software-as-a-service (SaaS) agreements and website end user license agreements and terms of use; master services agreements; and consulting agreements and non-disclosure agreements.

Kamla has also counseled corporate clients on a wide range of corporate governance and financing issues, including corporate formation and governance, mergers and acquisitions, general corporate counseling and venture capital financings. She has represented private and public companies as well as investors in equity and debt offerings.
